Earned Shares definition

Earned Shares means the Restricted Shares after the lapse of the Forfeiture Restrictions without forfeiture.
Earned Shares means those Shares that are designated herein as Restricted Shares and are subsequently redesignated as Earned Shares in accordance with the terms hereof due to the attainment by the Corporation of certain performance standards as provided for herein.
Earned Shares for every one million dollars ($1,000,000) of annual Adjusted EBITDA earned by the Corporation, subject to the limitations set forth in Section 12(b) hereof. Any incremental portion of Adjusted EBITDA less than $1,000,000 will be disregarded for such calculation.

  • The Director also agrees that the Restricted Shares and Earned Shares issued under this Agreement will not be sold or otherwise disposed of in any manner which would constitute a violation of any applicable federal or state securities laws.

More Definitions of Earned Shares

Earned Shares means (i) the number of Shares granted herein, multiplied by (ii) the BVPS Vesting Percentage.
Earned Shares means shares of Common Stock (or cash representing shares, as applicable) subject to a Performance Share Unit Award that are earned based on the achievement of the performance goals for the applicable Performance Cycle (or portion thereof, in the case of Transition Awards).
Earned Shares means the total of the Relative TSR Shares that are earned in accordance with paragraph 2(a) and the Absolute TSR Shares that are earned in accordance with paragraph 2(b).

Earned Shares means the portion of the Restricted Stock that is considered to be earned based upon the achievement of the applicable level of CAGR in EPS for the Measurement Period, as determined in accordance with Section 3(a) or 3(b) hereof.
Earned Shares means the Shares earned by the Genex Stockholder during the applicable Earnout Measurement Period.
