Vested Shares means any portion of the Restricted Stock subject to this Agreement that is and has become vested pursuant to this Section 2.

Vested Shares means Common Shares to which the holder of the Restricted Share Units becomes entitled upon vesting thereof in accordance with Section 2 or 3 hereof.

• In such event, the terms and provisions of this Notice and of the Plan will remain in full force and effect with respect to any Vested Shares.

• Upon your request at any time, the Company will deliver to you a stock certificate, or if the Common Shares are no longer certificated, a registration of stock, in your name evidencing Vested Shares.

• You will be solely responsible for the payment of any and all federal, state, local and foreign taxes that may be imposed on you by reason of your acquisition of the Restricted Shares and any vesting and subsequent sale of the Vested Shares.

• Notwithstanding any contrary provision of this Agreement, the Vested Shares will not be delivered to Participant unless and until satisfactory arrangements (as determined by M▇▇▇▇▇) have been made by Participant with respect to the payment of any income and employment taxes the Company determines must be withheld with respect to such Vested Shares.

• The Shares subject to this Restricted Stock Award shall vest, and the Restricted Period for the Shares shall lapse (Shares granted pursuant to this Restricted Stock Award with respect to which the Restricted Period has lapsed being referred to herein as “Vested Shares”) and become non-forfeitable with respect to the specified percentage of Vested Shares as set forth in the vesting schedule included in Participant’s Notice of Restricted Stock Award, attached as hereto as Exhibit A.

Vested Shares means those Shares in respect of which an Award Vests.

Vested Shares has the meaning specified in Section 3.1 hereof.

Vested Shares means all Shares which are not Restricted Shares.

Vested Shares means “Vested Shares” as defined in the Award Agreement for an Award.

Vested Shares means Shares that have vested in accordance with Section 3.1 or Section 3.2.
