Earnout Targets definition

Earnout Targets has the meaning set forth in Section 1.03(a).

Earnout Targets means any of the First Level Earnout Target, the Second Level Earnout Target and/or the Third Level Earnout Target.

Earnout Targets means, collectively, the First Earnout Target, the Second Earnout Target and the Third Earnout Target.

Examples of Earnout Targets in a sentence

• During the Earnout Period, the Purchaser shall, in good faith, conduct the business of the Company Group in the Ordinary Course of Business and not in a manner intended or reasonably likely to reduce or avoid the achievement of the Earnout Targets.

• Furthermore, subject to the satisfaction of the Common Stock Earnout Targets and without the payment of any consideration other than the principal amount of this Note converted in accordance with the terms hereof, the Holder will have the right to receive the Additional Offeror Shares described in Annex 2 to the Deed of Undertaking.
