Echelon Group. Echelon, as successor to the group of companies consisting of PCC, Talquin, Progress Leasing and PLC Leasing Corporation, the Subsidiaries thereof, and any Persons which may hereafter be organized or acquired directly or indirectly as Echelon Subsidiaries.

Examples of Echelon Group in a sentence

  • From and after the Distribution Date, no member of the Echelon Group shall have any rights under any such contract, license, agreement, commitment or arrangement with any member of the Florida Progress Group, except as specifically provided herein or on Schedule 5.2(a) hereto or in any Ancillary Agreement.

  • The Echelon Group shall be responsible for and pay expenses and benefits relating to all Employee Benefit Welfare Plan claims incurred by Echelon Employees and their covered dependents from and after the Effective Time.

  • Notwithstanding the foregoing, in consideration of the mutual indemnities and other obligations of 030068\0002\01866\966AL0HD.AGR this Agreement, any and all prior tax sharing agreements or practices between any member of the Florida Progress Group and any member of the Echelon Group, including the Policy Statement, shall be terminated with respect to the Echelon Group as of the date of the Distribution.

  • Article IV of the Distribution Agreement shall govern the rights of the Florida Progress Group and the Echelon Group with respect to indemnification.

  • Corporation Group means the Corporation, its affiliate, successors and permitted

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Risk retention group means any corporation or other limited liability association:

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Distribution Company means a distribution company as defined in Section 1 of Chapter 164 of the Massachusetts General Laws.3

  • Group Business Entity means;

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Group the Company and its subsidiaries

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Comparison Group means a sample group of organisations providing Comparable supply of Services which consists of organisations which are either of similar size to the Supplier or which are similarly structured in terms of their business and their service offering so as to be fair comparators with the Supplier or which, are best practice organisations;

  • the Group means the Company and its subsidiary undertakings (if any); and

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Women Business Enterprise (WBE) as used in this policy means a business enterprise that meets all of the following criteria:

  • Pooled fund group means an internally created fund of a district in which one or more institutional accounts of a district are in- vested.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Aggregation Group means either a Required Aggregation Group or a Permissive Aggregation Group as hereinafter determined.

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Control Group means the Company and its Affiliates.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • Community Contribution Company means a corporation formed under the laws of British Columbia that includes in its articles the following statement:

  • Top Paid Group means the top 20 percent of Employees who performed services for the Employer during the applicable year, ranked according to the amount of "415 Compensation" (determined for this purpose in accordance with Section 1.26) received from the Employer during such year. All Affiliated Employers shall be taken into account as a single employer, and Leased Employees within the meaning of Code Sections 414(n)(2) and 414(o)(2) shall be considered Employees unless such Leased Employees are covered by a plan described in Code Section 414(n)(5) and are not covered in any qualified plan maintained by the Employer.
