  • Each of the El Paso Parties acknowledges that each of the Underwriters is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the Partnership or El Paso.

  • Nothing contained herein shall relieve a defaulting Underwriter of any liability it may have to the El Paso Parties for damages caused by its default.

  • Any certificate signed by any officer of the El Paso Parties and delivered to the Representatives or counsel for the Underwriters in connection with the offering of the Units shall be deemed a representation and warranty by such entity, as to matters covered thereby, to each Underwriter.

  • This Agreement shall inure to the benefit of and be binding upon the Underwriters, the El Paso Parties and their respective successors.

  • Without limiting the foregoing, El Paso hereby expressly waives diligence, presentment, demand of payment, protest and all notices whatsoever, and any requirement that any Party hereto exhaust any right, power or remedy or proceed against any Relevant El Paso Party or any other Person under this Agreement or any other agreement or instrument referred to herein in respect of such obligations of the Relevant El Paso Parties whose obligations are guaranteed hereunder.

  • The El Paso Parties and the Underwriters agree that it would not be just and equitable if contributions pursuant to this Section 8(d) were to be determined by pro rata allocation (even if the Underwriters were treated as one entity for such purpose) or by any other method of allocation that does not take into account the equitable considerations referred to herein.

  • Parent Parties means Parent and Merger Sub.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.
