More Definitions of Employee Shares

Employee Shares means any Shares purchased by the Administrative Agent and held by the Administrative Agent or Trustee, as applicable, on behalf of the Participating Employee in accordance with the terms of the Plan, and includes any shares or securities of the Corporation into which such shares are changed, classified, reclassified, subdivided, consolidated or converted;

Employee Shares means the Restricted Shares and Unrestricted Shares held by Employee under this Agreement.

Employee Shares in relation to an Employee means all Shares (or such lesser number of Shares as the Board may in its absolute discretion determine) in the Company held by: (a) the Employee in question; and (b) by any Permitted Transferee of that Employee other than those Shares held by those persons that the Board declares itself satisfied were not acquired directly or indirectly from the Employee or by reason of their relationship with the Employee;

Employee Shares means, collectively, the Option Shares, the Purchased Shares and any other shares of Common Stock acquired in connection with grant, vesting or settlement of any Award.

Employee Shares means (i) all shares of Common Stock (other than shares of Restricted Common Stock or Common Stock issued pursuant to the exercise of any Option) originally issued to, or issued with respect to shares originally issued to, or held by, an Employee, whenever issued and (ii) for all purposes of this Agreement, all Options (treating such Options as a number of Shares equal to the number of Equivalent Shares represented by such Options), all shares of Common Stock issued pursuant to the exercise of any Option and all shares of Restricted Common Stock originally granted or issued to, or issued with respect to shares or options originally issued to, or held by, an Employee, whenever issued.

Employee Shares means Additional Shares issued upon exercise of an Employee Option.
