Employment Inducement Award means an Award to a Participant that is determined by the Committee to qualify as an inducement award within the meaning of NASDAQ Rule 5635(c)(4) (or any successor rule relating to shareholder approval of equity compensation plans that includes an exemption for such awards and that is applicable to the Company).

  • Gainful employment means paid employment for not less than 30 hours in each week for a period of not less than 12 months;
