The parties have agreed to an integration plan (which will comply with applicable law and privacy and security requirements), attached as Exhibit A hereto, for integrating the WebMD PHR Product (as defined below) and the EMR Product so as to enable patients and physicians to communicate more effectively (the “Integration Plan”).
In accordance with the Integration Plan, the integration of the EMR Product with the WebMD PHR Product will, inter alia, allow users of WebMD’s personal health record services to import information from the EMR Product.
During the Prospect Restricted Period, neither IDX nor any IDX Affiliate shall Provide to any Prospects, or solicit, or engage in any substantive discussions with, such Prospects concerning the Providing to such Prospects of, any Ambulatory EMR Product, other than the Allscripts EMR Products.
During the Restricted Period, neither IDX nor any IDX Affiliate shall Provide to any IDX-Only Customer any Ambulatory EMR Product, other than the Allscripts EMR Product and the Centricity EMR Product, provided, that: (i) when the Centricity EMR Product is offered to any such IDX-Only Customer, IDX shall also present to such IDX-Only Customer the Allscripts EMR Products in the manner set forth in Schedule 5.2.2 and (ii) IDX complies with the requirements set forth in Section 5.1.
Within ninety (90) days of the execution of this Agreement, the parties will seek to agree to an integration plan (which complies with applicable law and privacy and security requirements) for integrating the PHR Product and the EMR Product so as to enable patients and physicians to communicate more effectively (the “Integration Plan”).
The Contractor shall conduct (for planning purposes) the following monthly Integrated Product Team (IPT) meetings at his facility, unless otherwise notified by the Procuring Contracting Officer in writing; Engineering Management Review (EMR), Product Assurance & Test Management Review, Integrated Logistics Support Review, and Business Management/Contracts Review.
