  • X Assessment of process and analytical readiness for Engineering Runs.

  • All requests for Engineering Runs shall be subject to acceptance by GMN pursuant to Section 3.1.4 and 3.2. GMN shall consider all such requests in good faith and shall use Commercially Reasonable Efforts to accommodate all such requests.

  • The Preliminary Purchase Price for the Initial Purchase Order, Second Purchase Order, Third Purchase Order and the Engineering Runs is set forth in Annex E.

  • Ensures the readiness of the manufacturing process for Engineering Runs.

  • CBSB will provide to Tercica, the cGMP manufacturing services to produce such Scale-Up Runs, Engineering Runs and Engineering Batches on a time and materials basis as set forth in Section 8.2, and in accordance with the delivery terms set forth in Section 7.4 hereof.

  • Product resulting from Engineering Runs, Clinical Runs and Conformance Runs, as well as Non-Conforming Drug Substance, shall also be subject to the delivery terms set forth in this Section 7.4.

  • CBSB shall in no way be responsible for any claims, losses, expenses or damages, whatsoever, arising out of or in anyway related to Tercica’s use of Drug Substance resulting from the Scale-Up Runs or Engineering Runs.
