Examples of English Borrower in a sentence
Each of the English Borrowers shall deliver to the Administrative Agent an officer’s certificate in relation to each such English Borrower in the form described in Sections 6.1.1 and 6.1.2 as conformed to English market standard and containing as attachments copies of the current memorandum and articles of association of each such English Borrower approving the terms of, and the transactions contemplated by, this Agreement and the Loan Documents to which each such English Borrower is or is to be a party.
Except for the definition of “Tax Indemnitee” in Section 3.1(e), and the provisions of Section 3.1(h) below, the provisions of this Section 3.1 shall not apply in respect of any English Borrower, to which the provisions of Section 3.2 shall apply.

The provisions of this Section 3.2 shall only apply in respect of an English Borrower, and in respect of an English Borrower the provisions of Section 3.1 shall not apply to the extent set out therein.
After giving effect to the waivers and amendments contained herein, on the Amendment Effective Date, each of the US Borrower, the English Bidco, the English Borrower and the Euro Borrower hereby confirms that the representations and warranties set forth in Section 5 of the Credit Agreement are true and correct in all material respects; provided that each reference in such Section 5 to "this Agreement" shall be deemed to include this Amendment.
