EPS Target definition

EPS Target shall be the EPS target amount established by the Committee at a meeting to be held no later than March 1, 2009; provided, however, that if for any reason the Committee shall determine that the EPS Target is no longer a practicable or appropriate measure of financial performance, the Committee may take action to substitute another financial measure as it deems appropriate under the circumstances.

EPS Target means an amount per share specified by the Organization and Compensation Committee at the time of adoption of these performance objectives.

EPS Target shall be the EPS target amount established by the Committee at a meeting to be held within the 90-day period beginning January 1st of the Performance Year.

Examples of EPS Target in a sentence

• If the Participant incurs a Termination due to death, the EPS Target Number of Performance Shares and the RTSR Target Number of Performance Shares, or the number of Converted Restricted Shares (as defined in Exhibit A) to the extent applicable, shall, to the extent not then vested or previously forfeited or cancelled, become fully vested and the Forfeiture Restriction shall lapse with respect to such vested Performance Shares.

• The Bonus for each fiscal year of the Company will be tied to either the Company's earnings per share as reported in its annual financial statements excluding any extraordinary or nonrecurring items set forth therein (the "EPS") and the annual EPS target for that year (the "EPS Target"), or such other applicable performance targets as are established by the Board (or a committee thereof).
