ERISA Representation definition

ERISA Representation has the meaning ascribed to it in Section 9.01(a).
ERISA Representation means (in respect of an assignee, a transferee or a Transferee) a representation and agreement to the Grantor in the form set out in Clause 18.1 (Participant representation) but substituting: (a) such assignee, such transferee or such Transferee in place of "the Participant"; and (b) the rights being assigned or transferred to such assignee or transferee or the rights being acquired by and the obligations being assumed by, suchthe Transferee, in place of "the Funded Participation".";

  • Major Representation means a representation or warranty with respect to the Borrower or the Merger Sub only under any of Clause 18.2 (Status) to Clause 18.6 (Validity and admissibility in evidence) inclusive.
