Escrowed Transfer Documents definition

Escrowed Transfer Documents means, with respect to each Portfolio Investment owned by the Company that is a Loan, two original Assignment Documents, each executed in blank by (a) the Company, as assignee, and (b) if the consent or signature of any Affiliate of the Company (whether as administrative agent, servicer, registrar or in any other capacity) is or could be required for the transfer of all or any portion of such Portfolio Investment by the Company, each such Affiliate.

Examples of Escrowed Transfer Documents in a sentence

  • All original Escrowed Transfer Documents and Underlying Instruments held by the Collateral Agent shall be available for inspection by the Administrative Agent and the Lenders upon prior written request and during normal business hours of the Collateral Agent.

  • Upon receipt of such direction, the Collateral Agent shall release the original Escrowed Transfer Documents to the Administrative Agent (or as otherwise provided in the related release request), and the Administrative Agent will not be required to return the related original Escrowed Transfer Documents to the Collateral Agent.

  • Neither the Collateral Agent nor the Collateral Administrator shall have any obligation to review or verify whether the Company or the Servicer on its behalf has obtained and delivered the necessary Escrowed Transfer Documents, the Administrative Agent Cooperation Agreements or Underlying Instruments required for purchases of Portfolio Investments hereunder.

  • For the avoidance of doubt, the Collateral Agent shall not be required to review or provide any certifications in respect of original Escrowed Transfer Documents or Underlying Instruments delivered and held by it.

  • The Administrative Agent shall arrange for the provision of such services at the sole cost and expense of the Company and shall maintain such insurance against loss or damage to the original Escrowed Transfer Documents as the Administrative Agent deem appropriate.

Related to Escrowed Transfer Documents

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Escrow End Date has the meaning set forth in the Escrow Agreement.

  • Closing Documents means the papers, instruments and documents required to be executed and delivered at the Closing pursuant to this Agreement;

  • Buyer Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Buyer or an Affiliate of Buyer under this Agreement or in connection herewith, including the Escrow Agreement.

Escrow includes subdivision trusts and account servicing.

  • Stockholder Agreement means the Stockholder Agreement, dated as of August 29, 2003, among the Company and its stockholders, as amended and in effect from time to time.

  • Escrow Agreement means the escrow agreement entered into prior to the date hereof, by and among the Company, the Escrow Agent and the Placement Agent pursuant to which the Purchasers shall deposit Subscription Amounts with the Escrow Agent to be applied to the transactions contemplated hereunder.

  • Escrow Funds means the Advance funds deposited with the Escrow Agent pursuant to this Agreement.
