ESMR Network definition

ESMR Network means a wide-area network of specialized mobile radio base stations that uses iDEN digital technology to provide wireless communications services including voice, dispatch, interconnected telephone and data services, using SMR Frequencies.
ESMR Network has the meaning set forth in Article 1 of the JV Agreement.

  • Except as provided in Section 4.18, the Company will have the obligations described in Article 6 with respect to all frequencies in its ESMR Network consistent with the Build-Out schedule of Exhibit 6, and the Company will be responsible for any construction of Partner Frequencies required by the FCC Rules.

  • The Company will be responsible for the frequency design in the Territory and will be required to adhere to standards for the use of the radio frequencies in the ESMR Network as in effect at the relevant time and applicable generally to the NDS ESMR Network operations.

  • Within 20 days after the beginning of each calendar quarter, the Company shall give NWIP notice designating the number and general location of all tower sites that the Company needs to construct as part of the Build Out of its ESMR Network for that quarter, other than Excepted Tower Sites.

  • Except for authorized National Accounts (as discussed in Section 11), other sales as discussed in Section 10, and as otherwise is provided in this Section 9.5, the Company and each NDS each has the exclusive right to sell ESMR Network subscriber equipment and accessories in its geographic territory and neither of them will sell ESMR Network subscriber equipment or accessories outside its territory without prior approval of the other.

  • Such services would include, at the Company's request, the mailing of letters to the affected analog customers stating the terms under which such customers could migrate to the Company's ESMR Network.

  • The Company will adhere in the Territory to the customer loyalty measurements and targets as in effect at the relevant time and applicable generally to the NDS ESMR Network operations, provided that the Company will not be penalized for failure to meet such requirements to the extent the average level of performance achieved by the NDS during the same relevant period does not exceed the level of the Company's performance.

  • The Company will be responsible for all normal costs (such as trade-in allowances, subsidies, loading expenses, analog unit returning or refurbishment expenses) associated with any such offers to or migration of such analog customers, and NWIP will not be entitled to any commission if such customer is moved to the Company's ESMR Network.

  • The Company will make available for possible exchange all Partner Frequencies that are outside the Upper 200, except for frequencies that are then required in the existing or contemplated operation of the ESMR Network in the Territory.

  • Prior to offering commercial service in a Section, the Company will be required to provide coverage to all the Build Areas in that Section that have the earliest Build Year and to meet the general launch criteria that are in effect at the relevant time and applicable generally to the NDS ESMR Network (the "Launch Criteria").

  • All of the Company's rights under this Agreement or any of the Collateral Agreements entered into as contemplated herein, including the Company's rights to use any frequencies made available by any member of the Nextel Group in the Territory and the rights to own and operate the ESMR Network in the Territory are personal to the Company.

  • BT Network means BT’s public electronic communications network;

  • Mobile Network means a 3G or 4G network or any other mobile communications network which we choose to provide Mobile services.

  • Computer network means the interconnection of hardwire or wireless communication lines with a computer through remote terminals, or a complex consisting of 2 or more interconnected computers.

  • Provider network means an affiliated group of varied health care providers that is established to provide a continuum of health care services to individuals;

  • Digital network means any online-enabled application, software, website or system offered or utilized by a transportation network company that enables the prearrangement of rides with transportation network company drivers.

  • ACH Network means the funds transfer system, governed by the NACHA Rules, that provides funds transfer services to participating financial institutions.

  • Core Network means the transport infrastructure identified in accordance with Chapter III of Regulation (EU) No 1315/2013;

  • End User means, in the event that the Services or Deliverables involve the use of any information systems, any and all UNICEF employees, consultants and other personnel and any other external users collaborating with UNICEF, in each case, authorized by UNICEF to access and use the Services and/or Deliverables.

  • Local Area Network or “LAN” means the infrastructure that enables the ability to transfer IP services within Sites (including data, voice and video conferencing services).

  • public telecommunications network means the public telecommunications infrastructure which enables signals to be conveyed between defined network termination points by wire, by microwave, by optical means or by other electromagnetic means;

  • Network means the participating providers described in the Provider Directory.

  • Integrated Services Digital Network (ISDN means a switched network service that provides end-to-end digital connectivity for the simultaneous transmission of voice and data. Basic Rate Interface-ISDN (BRI-ISDN) provides for a digital transmission of two (2) 64 Kbps bearer channels and one (1) 16 Kbps data channel (2B+D).

  • Online Services means Microsoft-hosted services to which Customer subscribes under this Agreement. It does not include software and services provided under separate license terms.

  • Integrated Services Digital Network (ISDN) means a switched network service that provides end-to-end digital connectivity for the simultaneous transmission of voice and data. Basic Rate Interface-ISDN (BRI-ISDN) provides for a digital transmission of two 64 Kbps bearer channels and one 16 Kbps data channel (2B+D).

  • system user means a natural or legal person supplying to, or being supplied by, a transmission or distribution system;

  • End Users means a Third Party residence or business that subscribes to Telecommunications Services provided by any of the Parties at retail. As used herein, the term “End User(s)” does not include any of the Parties to this Agreement with respect to any item or service obtained under this Agreement.

  • Network pharmacy means any pharmacy that has an agreement to accept our pharmacy allowance for prescription drugs and diabetic equipment/supplies covered under this agreement. All other pharmacies are NON-NETWORK PHARMACIES. The one exception and for the purpose of specialty Prescription Drugs, only specialty pharmacies that have an agreement to accept our pharmacy allowance are network pharmacies and all others pharmacies are non-network pharmacies.

  • telecommunications network means any wire, radio, optical, or other electromagnetic system used to route, switch, or transmit telecommunications;

  • Cable Television Network means system consisting of set of closed transmission paths and associated signal generation, control and distribution equipment, designed to provide Cable Service for reception by multiple subscribers.
