Eucodis Territory definition

Eucodis Territory means the EU and all those countries listed in Exhibit D attached hereto and made a part of this Agreement.

  • The Parties shall have the right to issue press releases relating to its entry into this Agreement and the reporting of any and all progress made in the development of the Product in the Field for the Eucodis Territory, provided that prior to release, the releasing Party provides the other Party with a draft of the press release in sufficient time for the nonreleasing Party to comment on the release.

  • MDI represents and warrants that it has not granted a license for the Product, exclusive or otherwise to any other entity or company for the Field in the Eucodis Territory.

  • Integral to the exclusive license hereunder, Eucodis shall be solely responsible for the manufacture the Product for the Eucodis Territory while ensuring that there is sufficient supply for all stages of preclinical and clinical development in accordance with the clinical Development Plan for the concurrent development in the United States.

  • MDI further covenants that it will pursue assignment of the such Intellectual Property where such assignment has not yet been effectuated in the Eucodis Territory.

  • The Parties agree that both the Eucodis Territory and the Field may be expanded upon the written agreement of the Parties.

  • MDI shall use commercially reasonable efforts to continue to pursue the assignment of the patent rights in the Product to the extent such assignment has not yet been effectuated in the Eucodis Territory.

  • The parties agree that they shall jointly own all preclinical and clinical trial documents, any and all documents filed with the E.U. regulatory approval boards, and all marketing materials developed by Eucodis for the Product in the Field for use in the Eucodis Territory.

  • Subject to the terms and conditions set forth in this Agreement, MDI hereby grants Eucodis the exclusive license to develop, manufacture and commercialize the Intellectual Property of the Product in the Eucodis Territory for use in the Field with the right to outlicense after completion of Phase II.

  • No letters of intent or any other binding or nonbinding documents shall be executed by Eucodis related to an outlicense for the Product in the Eucodis Territory without first providing a copy of such document to MDI and MDI having an opportunity to comment thereon.

  • In the event that Phase II clinical trials are completed and the Product is out licensed to a third party for any indication in the Field for the Eucodis Territory, Eucodis shall pay royalties to MDI the percentage of Net Revenues received by Eucodis from a third party outlicense as set in 5.1.1 herein.

  • U.S. Territory means American Samoa, the Commonwealth of the Northern Mariana Islands, Guam, the Commonwealth of Puerto Rico, or the U.S. Virgin Islands.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Licensed Territory means worldwide.

  • Relevant Territory means Hong Kong or such other territory as the Directors may from time to time decide if the issued ordinary share capital of the Company is listed on a stock exchange in such territory;

  • Licensed Product means any method, process, composition, product, service, or component part thereof that would, but for the granting of the rights set forth in this Agreement, infringe a Valid Claim contained in the Licensed Patents.

  • Sales territory means an area of exclusive sales responsibility for the brand or brands of beer sold by a supplier as designated by an agreement.

  • customs territory means the territory of the country of each Contracting Party in which the Customs laws of that country are in force;

  • Diagnostic Product means In Vitro Diagnostics, In Vivo Diagnostic Agents and any product used for Diagnosis.

  • Generic Product means a product which (a) contains as its active pharmaceutical ingredient a compound that is (or is substantially the same as) the Licensed Compound or the active pharmaceutical contained in a Unity Bcl-2 [***] Product, and (b) has been placed on the market pursuant to a validly granted marketing authorization.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Major Market Countries means the United States, Japan, England, Germany, France, Italy and Spain.

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Commercialized shall have corresponding meanings.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Exclusive Territory means (1) the states of Illinois, Wisconsin, and Indiana; and

  • medicinal product means any substance or combination of substances presented for treating or preventing disease in human beings or animals and any substance or combination of substances which may be administered to human beings or animals with a view to making a medical diagnosis or to restoring, correcting or modifying physiological functions in humans or in animals;

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.
