Excess Liability Amount shall have the meaning set forth in Section 4.6.2.

More Definitions of Excess Liability Amount

Excess Liability Amount means the amount by which the liabilities of Tunes which exist as of the Closing Date or otherwise areise out of or reelate to Tunes; conduct before the Closing Date (including all amounts paid by JAMtv to Tunes before the Closing Date to enable Tunes to satisfy such liabilities ) exceed $105,082. The Excess Liability Amount as of May 31, 1998, is attached herto as SCHEDULE 1.8, and, from time to time, shall be adjusted as of the Closing Date.
Excess Liability Amount is equal to the aggregate value of all amounts owed by NES, and all amounts paid by or on behalf of NES before the Closing, that relate to (A) any Legal Proceeding to which NES is a party, (B) any judgment entered against NES or under which NES has any liability and (C) any claim against the Company by, or contractual liability of the Company to, any third party that would be reflected on a balance sheet prepared in accordance with GAAP but that is not reflected on the Company's balance sheet as of October 31, 2004 that is included in the Company Financial Statements (as defined in Section 2.4); provided, however, that up to $300,000 in the aggregate relating to the following enumerated items shall be excluded from the Excess Liability Amount: (1) amounts paid or owed to Cardinal pursuant to the Cardinal Agreement; (2) amounts paid or owed to Sierra (as defined in Section 1.10) with respect to fees and expenses accrued by Sierra prior to the Closing; (3) amounts owed that relate to the judgment lien evidenced by UCC Filing #199828660431, on which "M. Snow" is listed as the Secured Party; (4) amounts owed that relate to the judgment lien evidenced by UCC Filing #200126860629, on which "Heritage Communications of St. Louis" is listed as the Secured Party; (5) amounts paid or owed to Golf U.S.A. (as defined in Section 6.7(d)) under the Golf U.S.A. Agreement (as defined in Section 6.7(d)); and (6) up to $25,000 owed to Bruce Horton ("Horxxx") xx xxxaymxxx xx the outstanding principal balance on a promissory note issued to Mr. Horton in 1997 (xxx "Xxxton Note").

Related to Excess Liability Amount

  • Related Liability Amount with respect to any Related Liability on the books of the Assuming Institution, means the amount of such Related Liability as stated on the Accounting Records of the Assuming Institution (as maintained in accordance with generally accepted accounting principles) as of the date as of which the Related Liability Amount is being determined. With respect to a liability that relates to more than one asset, the amount of such Related Liability shall be allocated among such assets for the purpose of determining the Related Liability Amount with respect to any one of such assets. Such allocation shall be made by specific allocation, where determinable, and otherwise shall be pro rata based upon the dollar amount of such assets stated on the Accounting Records of the entity that owns such asset.

  • Indemnity Amount means the amount of any indemnification obligation payable under the Basic Documents.

  • Maximum Facility Amount means the aggregate Commitments as then in effect, which amount shall not exceed $200,000,000; provided that at all times after the Reinvestment Period, the Maximum Facility Amount shall mean the aggregate Advances Outstanding at such time.

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Bankruptcy Loss Coverage Amount As of any Determination Date, the Bankruptcy Loss Coverage Amount shall equal the Initial Bankruptcy Coverage Amount as reduced by (i) the aggregate amount of Bankruptcy Losses allocated to the Certificates since the Cut-off Date and (ii) any permissible reductions in the Bankruptcy Loss Coverage Amount as evidenced by a letter of each Rating Agency to the Trustee to the effect that any such reduction will not result in a downgrading of the then current ratings assigned to the Classes of Certificates rated by it.

  • Excess Liquidation Proceeds Reserve Account The trust account or subaccount created and maintained by the Certificate Administrator pursuant to Section 3.05(c) of this Agreement in trust for the Certificateholders, which (subject to any changes in the identities of the Trustee and/or the Certificate Administrator) shall be entitled “Citibank, N.A., as Certificate Administrator, on behalf of Wilmington Trust, National Association, as Trustee, for the benefit of the registered Holders of Citigroup Commercial Mortgage Trust 2019-C7, Commercial Mortgage Pass-Through Certificates, Series 2019-C7, Excess Liquidation Proceeds Reserve Account.” Any such account shall be an Eligible Account.

  • Retained Excess Cash Flow Amount means, at any date of determination, an amount, determined on a cumulative basis, that is equal to the aggregate cumulative sum of the Excess Cash Flow that is not required to be applied as a mandatory prepayment under Section 2.11(b)(i) for all Excess Cash Flow Periods ending after the Closing Date and prior to such date; provided that such amount shall not be less than zero for any Excess Cash Flow Period.

  • Reserve Account Excess Amount means, with respect to any Payment Date, an amount equal to the excess, if any, of (a) the amount of cash or other immediately available funds in the Reserve Account (excluding any net investment earnings) on that Payment Date, after giving effect to all deposits to and withdrawals from the Reserve Account on such Payment Date, over (b) the Specified Reserve Account Balance with respect to such Payment Date.

  • Deductible Amount means, with respect to any Insuring Agreement, the amount set forth under the heading “Deductible Amount” in Item 3 of the Declarations or in any Rider for such Insuring Agreement, applicable to each Single Loss covered by such Insuring Agreement.

  • Fraud Loss Coverage Amount As of the Closing Date, $2,500,000, subject to reduction from time to time, by the amount of Fraud Losses allocated to the Certificates.   • Excess Loss Account has the meaning set forth in Reg. Section 1.1502-19.

All principal balances for the purpose of this definition will be calculated as of the first day of the calendar month preceding the month of such Distribution Date after giving effect to Scheduled Payments on the Mortgage Loans then due, whether or not paid.

  • Aggregate Amount means the aggregate amount by which the resolution authority has assessed that eligible liabilities are to be written down or converted, in accordance with Article 46(1);
