Excess Shipment definition

Excess Shipment with TIANWEI’s written consent. This shipment will be credited against each subsequent Minimum Annual Quantity of Product. For the avoidance of doubt, each monthly shipment shall be applied first to satisfy the Minimum Monthly Quantity for that calendar month. Any Product in excess of this amount shall then be applied to reduce the oldest outstanding Deficiency.
Excess Shipment means the shipment of all or any remaining balance of the Minimum Annual Quantity of Product, as hereinafter, defined, prior to the end of any current Contract Year as described in Section 3.2 of this Agreement.
