  • Any fractional Consideration Shares or ExchangeCo Common Shares to be issued in connection with the Arrangement will be rounded down to the nearest whole number of Consideration Shares or ExchangeCo Common Shares, and no payment or other adjustment shall be made with respect to the fractional interest so disregarded.

  • Amalco Common Shares means the common shares in the capital of Amalco;
