Excluded Fees definition

Excluded Fees means all fees paid or payable by an Obligor or Obligors to the Agent or any Lender under any Document or to any agent or lender under the Original Agreement for service fees, waiver or amendment fees, monitoring fees, legal fees, and upfront fees and all fees incurred by the Agent or any Lender under any Document or by any agent or lender under the Original Agreement and reimbursed by a Borrower.
Excluded Fees means origination fees (if not capitalized), late fees, returned check fees, credit investigation fees, any ACH fees and, with respect to any Secured Personal Loan, repossession fees and auction fees paid by an Obligor.
Excluded Fees means any fees other than those reasonably connected with the administration and enforcement of the AR Loan Documents in the ordinary course of business. By way of example and not of limitation, such Excluded Fees include late charges, prepayment fees and charges, exit fees, breakage fees and charges, unused facility fees, facility fees, commitment fees, closing fees, amendment fees, forbearance fees, extension or renewal fees, and any other such fees.

Examples of Excluded Fees in a sentence

  • For the avoidance of doubt, any overdraft fees payable to State Street shall be considered Excluded Fees.

More Definitions of Excluded Fees

Excluded Fees means, for any period, (a) all closing and consent fees paid by the Borrowers to the Agent and the Lenders in connection with the closing of the Eleventh Amendment to this Agreement but only to the extent accrued during such period, and (b) all costs, fees and expenses paid by the Borrowers in connection with the Exchange Offer to the extent paid during such period.
Excluded Fees means the items set out in clause 9, which for avoidance of doubt shall not form part of the Bursary and accordingly not payable by FoodBev SETA in terms of this Agreement;

Excluded Fees means (i) Non-Branded Payments which are, in the aggregate, equal to an amount that is less than 3% of the total cumulative gross Franchisee Payments as of any date of determination within the 12-month period after the Cut-Off Date, and in any 12-month period thereafter, (ii) Advertising Fees, (iii) Canadian Advertising Fees and (iv) amounts payable in respect of the Canadian Franchise Agreements relating to the goods and services tax, the provincial tax and the harmonized sales tax.
