Excluded Order means an order
Excluded Order means any order or approval of the type described in clause (ii) above entered or granted prior to the date hereof or any such order or approval entered or granted on or after the date hereof in the rehabilitation proceeding under Chapter 645 of the Wisconsin Statutes pending with respect to the Issuer as of the date hereof (the “Proceeding”), except to the extent that any such order or approval by its express terms provides for the acceleration of the maturity of the Notes or otherwise designates the scheduled maturity date or other maturity date or date for the payment of principal of the Notes.
Excluded Order means (i) any Order placed by, for, or on behalf of any “investment company” that is registered under the Investment Company Act of 1940, as amended, that is advised or managed by Parent or any of its Affiliates; or (ii) any Order placed by a Parent Customer that is an investment adviser affiliated with Parent, to the extent that the routing of such Order to the Company under this Agreement would be prohibited under applicable law.

("CyberTrader(R)") (including an Order for execution placed on the CyberTrader platform to the extent CyberTrader(R) is consolidated into Schwab and operated as a separately identifiable business unit or division of Schwab using the CyberTrader(R) platform) (y) an Order for a Schwab Customer serviced by the SI Business using the CyberTrader(R) platform or (z) US Trust Corporation and its Subsidiaries that in each of (i) and (ii), is consistent with the types of Orders placed by such Persons as of the date of the Purchase Agreement.

  • Excluded IP has the meaning assigned to such term in the U.S. Security Agreement.

  • Excluded Equity means any Voting Stock in excess of 66% of the total outstanding Voting Stock of any direct Subsidiary of any Grantor that is a Non-U.S. Person. For the purposes of this definition, “Voting Stock” means, as to any issuer, the issued and outstanding shares of each class of capital stock or other ownership interests of such issuer entitled to vote (within the meaning of Treasury Regulations § 1.956-2(c)(2)).
