Excluded Sublease definition

Excluded Sublease. Any sublease permitted hereunder relating to solely portions of the Leased Property (a) that are within the footprint of a building located on the Leased Property as of the date hereof, (b) that are not Revenue Generating Spaces as of the date hereof and (c) with respect to which (i) a Person that is not an Affiliate of Tenant is subtenant, and (ii) the premises subleased thereunder will not be used for gaming or lodging purposes.
Excluded Sublease means Tenant’s right to sublease up to one (1) full floor of the Premises at any time in one or more transactions.

Examples of Excluded Sublease in a sentence

  • Except to the extent such terms and provisions are inconsistent with or are specifically contrary to the express written provisions of this Sublease and except with respect to the Excluded Sublease Provisions (as hereinafter defined), all of the terms, covenants and conditions of the Prime Lease are by this reference incorporated herein and made a part of this Sublease as if Sublandlord were Landlord and Subtenant were Tenant.

  • If the parties, acting in good faith, are unable to agree upon the location of the Excluded Sublease Premises, the Excluded Sublease Premises will be the area outlined on Exhibit F attached hereto.

  • Within sixty (60) days after the Sublease Commencement Date, the parties shall meet to determine a mutually agreeable area to serve as the Excluded Sublease Premises and Subtenant shall immediately surrender any portion of the Excluded Sublease Premises that is occupied by Subtenant.

  • Except with respect to the Excluded Sublease Provisions (as hereinafter defined), Subtenant hereby assumes and agrees to perform faithfully and be bound by all of Sublandlord's obligations, covenants, agreements and liabilities under the Prime Lease during the Term.

  • The Excluded Sublease Premises will not be occupied on a permanent basis by Subtenant; provided that it will also not be taped off or otherwise separately demised from the remainder of the Sublease Premises and Subtenant will be permitted to walk through or otherwise pass through the Excluded Sublease Premises to the extent required to access the remainder of the Sublease Premises or as may be required for exiting requirements or other code compliance or legal requirements.

Related to Excluded Sublease

  • Permitted Sublease means a sublease permitted under Section 7.2.7 of the Lease.

  • Permitted Sublessee means the sublessee under a Permitted Sublease.

  • Sub-Lease means the sub-lease entered into following the approval of an Approved Sub-lease;

  • New Lease Any lease of REO Property entered into on behalf of the Trust, including any lease renewed or extended on behalf of the Trust if the Trust has the right to renegotiate the terms of such lease.

  • Operating Lease means, as applied to any Person, any lease (including, without limitation, leases which may be terminated by the lessee at any time) of any Property (whether real, personal or mixed) which is not a Capital Lease other than any such lease in which that Person is the lessor.

  • domestic premises means any premises used wholly or partly as a dwelling or intended for such use;

  • Facility Lease means a lease or master lease with respect to any Real Property Asset owned or ground leased by any of the Consolidated Parties as lessor, to a third party Tenant, which, in the reasonable judgment of the Administrative Agent, is a triple net lease such that such Tenant is required to pay all taxes, utilities, insurance, maintenance, casualty insurance payments and other expenses with respect to the subject Real Property Asset (whether in the form of reimbursements or additional rent) in addition to the base rental payments required thereunder such that net operating income to the applicable Consolidated Party for such Real Property Asset (before non-cash items) equals the base rent paid thereunder; provided, that each such lease or master lease shall be in form and substance reasonably satisfactory to the Administrative Agent.

  • Company Lease means any lease, sublease, sub-sublease, license and other agreement under which the Company or any of its Subsidiaries leases, subleases, licenses, uses or occupies (in each case whether as landlord, tenant, sublandlord, subtenant or by other occupancy arrangement), or has the right to use or occupy, now or in the future, any real property.

  • Master Lease means any master lease now or hereafter entered into, in which the Healthcare Facility is aggregated with other HUD-insured healthcare facilities and leased to a Master Tenant and any amendments or joinders thereto.

  • Ground Lease means a lease creating a leasehold estate in real property where the fee owner as the ground lessor conveys for a term or terms of years its entire interest in the land and buildings and other improvements, if any, comprising the premises demised under such lease to the ground lessee (who may, in certain circumstances, own the building and improvements on the land), subject to the reversionary interest of the ground lessor as fee owner. With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:

  • Subleases means the Sublease(s) of even date herewith by and between the District and Contractor together with any duly authorized and executed amendment hereto under which the District subleases the Site from the Contractor.

  • Permitted Lease means a lease permitted under Section 4.02(b) of the Trust Indenture.

  • Mining Lease means the mining lease granted pursuant to Clause 12 and includes any renewal thereof and according to the requirements of the context shall describe the area of land demised as well as the instrument by which it is demised;

  • Lease means any agreement, whether written or oral, no matter how styled or structured, pursuant to which a Loan Party is entitled to the use or occupancy of any space in a structure, land, improvements or premises for any period of time.

  • Existing Leases means those leases, license agreements and occupancy agreements identified on Schedule 2.1.3, as the same may be amended or modified from time to time in accordance with the terms of this Agreement.

  • Facility Leases means all of the leases of Facilities listed on Schedule 4.6(a).

  • Real Property Lease has the meaning set forth in Section 3.9(b).

  • Site Lease or “Lease” means this Site Lease together with any duly authorized and executed amendment hereto under which the District leases the Site to the Lessee.

  • Material Leasehold Property means a Leasehold Property reasonably determined by Administrative Agent to be of material value as Collateral or of material importance to the operations of Company or any of its Subsidiaries.

  • Space Lease The space or occupancy lease pursuant to which any Borrower holds a leasehold interest in the related Mortgaged Property, together with any estoppels or other agreements executed and delivered by the lessor in favor of the lender under the related Mortgage Loan(s).

  • New Leases means those leases, license agreements and occupancy agreements encumbering any Real Property which are entered into after the Effective Date in accordance with the terms of this Agreement, as the same may be amended or modified from time to time in accordance with the terms of this Agreement.
