Exempt Option definition

Exempt Option has the meaning set forth in Section 5.3(b).
Exempt Option means either (a) an Incentive Stock Option granted pursuant to Schedule 2 to the Plan, or (b) an Option granted pursuant to the Plan that is exempt from the requirements of Section 409A under the stock rights exception described in Section 1.409A-1(b)(5) of the Treasury Regulations and which does not include a right to Dividend Equivalents.

Examples of Exempt Option in a sentence

  • Each Pinnacle Option (other than any Exempt Option) which is outstanding immediately prior to the Time of Distribution will be converted upon the Time of Distribution into two separate options, an adjusted Pinnacle Option (each, an “Adjusted Pinnacle Option”) and an OpCo Option, as set forth below.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Non-Qualified Share Option means an Option that is not intended to be an Incentive Share Option.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Optioned Stock means the Common Stock subject to an Option.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Employee Option means an Option granted pursuant to Section 5.

  • Company Stock Option Plan means the Company's 1999 Stock Option Plan.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Director Option means an Option granted pursuant to Section 6.

  • 102 Option means any Option granted to Employees pursuant to Section 102 of the Ordinance.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Approved 102 Option means an Option granted pursuant to Section 102(b) of the Ordinance and held in trust by a Trustee for the benefit of the Optionee.
