Exercise Notification has the meaning set out in Clause 2.4.

Exercise Notification. : means the written notification substantially in the form as attached in Annex B to this Plan, as may be amended by the Company, whereby the Stock Option Holder notifies the Company or any third party designated by the Company of its desire to exercise the Stock Options;

Examples of Exercise Notification in a sentence

  • The form in the English language available at the offices of the Fiscal Agent and the Paying Agent may be used for the purpose of the Exercise Notification.

  • Payment in full amount as specified in the Exercise Notification Form.

  • Payment document in full amount as specified in the Exercise Notification Form.

  • Warrants or the Certificates of Warrant, in the form prescribed by SET, with the numbers indicated in the Exercise Notification Form to purchase ordinary shares.

  • A completed Exercise Notification Form to purchase ordinary share that is filled out duly, correctly and clearly in all items.

  • Demand Exercise Notice has the meaning set forth in Section 2.1(a).

  • Election to Exercise shall have the meaning attributed thereto in Subsection 2.2(d).

  • Notice of Election to Purchase has the meaning assigned to such term in Section 15.1(b).

  • Expedited Deliverability Study means a deliverability study that an eligible Developer may elect to pursue as that term is defined in OATT Section 25 (OATT Attachment S) that may determine the extent to which an existing or proposed facility satisfies the NYISO Deliverability Interconnection Standard at its requested CRIS level without the need for System Deliverability Upgrades. The schedule and scope of the study is defined in Sections 25.5.9.2.1 and 25.7.1.2 of this Attachment S.

  • Broker Exercise Notice means a written notice pursuant to which a Participant, upon exercise of an Option, irrevocably instructs a broker or dealer to sell a sufficient number of shares or loan a sufficient amount of money to pay all or a portion of the exercise price of the Option and/or any related withholding tax obligations and remit such sums to the Company and directs the Company to deliver stock certificates to be issued upon such exercise directly to such broker or dealer.

  • DDA Notification has the meaning provided therefor in Section 6.13(a)(i).

  • Written Notification means an electronic document (including faxes, emails, internal mail on the client terminal etc.) or an announcement on the Company's website.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Confirmation Notice means a notice provided by the Issuer to an Investor in accordance with clause 1.3(c) of the Terms;

  • Repurchase Response Notice means a notice delivered by the Indenture Trustee at the direction of the Administrator to a Noteholder or Note Owner indicating that a Repurchase Request is unresolved.

  • Subscription Notice has the meaning set forth in Section 1.1.

  • Letter of Transmittal and Election Form means the letter of transmittal and election form(s) to be delivered by Company to the Company Shareholders and Company RSU Holders and providing for the Company Shareholder’s and Company RSU Holders election with respect to the Consideration;

  • Notice of Settlement means the form attached hereto as Exhibit A.

  • Consent Notice has the meaning set forth in Section 4.6(a).

  • Delivery Notice Has the meaning specified in the NPA.

  • major non-compliance outcome notification means a notification received by a council under section 19N(3) or (4) of the Food Act 1984, or advice given to council by an authorized officer under that Act, of a deficiency that does not pose an immediate serious threat to public health but may do so if no remedial action is taken

  • Approvals or Notifications means any consents, waivers, approvals, permits or authorizations to be obtained from, notices, registrations or reports to be submitted to, or other filings to be made with, any third Person, including any Governmental Authority.

  • Cashless Exercise means a Cashless Exercise as defined in Section 6.3(b)(i).

  • Option Exercise Date has the meaning specified in Section 2.1.
