Examples of Existing Company Credit Agreement in a sentence
The Company shall have repaid, or shall substantially concurrently with the initial Credit Extension repay, all amounts outstanding under the Existing Company Credit Agreement, and all commitments thereunder and liens created in connection therewith shall have been, or shall substantially concurrently with the initial Credit Extension be, terminated and released.
Assuming the Financing is funded in accordance with the Commitment Letter, Parent and Merger Sub will have sufficient cash on hand on the Closing Date to pay the aggregate Merger Consideration and all other cash amounts payable pursuant to this Agreement, and repay and/or refinance all Indebtedness and other obligations owing as of the Closing Date pursuant to the Existing Company Credit Agreement (the “Refinancing”).
Each of the Company and the Guarantors hereby adopts, assumes, ratifies, and reaffirms such prior Liens and security interests and confirms that such Liens and security interests secure the Obligations, which includes in part an assignment and continuation of the original “Obligations” described in the Existing Company Credit Agreement.
Each Lender that is a party to the Existing Company Credit Agreement hereby waives the three (3) Business Days notice requirement for termination of the commitments as set forth in Section 2.08 of the Existing Company Credit Agreement and each such Lender agrees that upon the effectiveness of this Agreement, the Existing Company Credit Agreements shall be deemed terminated.
This Agreement amends and restates in its entirety the Existing Company Credit Agreement (as defined herein).
