Examples of Existing Creditors in a sentence
ESL's appointment by the Company as Placement Agent shall commence upon the date of the execution of this Agreement, and shall continue until and through July 31, 1998, unless (i) the Shares shall be completely sold prior to that date, (ii) the offering has been terminated by written agreement between ESL and the Company, or (iii) this Agreement shall be terminated at a prior date as provided herein.
Furthermore, the Company hereby consents to permit Bristol and its designees to negotiate and purchase the senior debt from the Existing Creditors, and agrees to honor the transfer of any such senior debt from the Existing Creditors to Bristol and/or its designees, provided that such transfer complies with all applicable laws, rules and regulations, and Bristol and its designees shall have received all required consents and authorizations for such transfer.
The rights and obligations of the Creditors under this Agreement may be assigned to or assumed to a transferee of the Debentures (as defined in the Existing Creditors Securities Purchase Agreement and as defined in the New Creditors Securities Purchase Agreement), as applicable.
The Existing Creditors shall have received a copy of the Amendment to Trademarks Security Agreement, dated as of the Restructuring Effective Date, duly executed by the Company, Metro Networks Communications, Inc.
Each of LSQ and each Existing Agent, on behalf of the applicable Existing Creditors, agrees that, until the other set of Creditors’ Claims have been indefeasibly paid in full, such Creditor shall not seek relief, pursuant to Section 362(d) of the Bankruptcy Code or otherwise, from the automatic stay of Section 362(a) of the Bankruptcy Code or from any other stay in any Insolvency Proceeding in respect of its Junior Collateral without the prior written consent of such other Creditor.
