Existing Guarantor Documents means, collectively, (i) the Guarantee, dated June 29, 2005, by Borrowers and Guarantors in favor of Agent and Lenders, (ii) the Pledge and Security Agreement, dated June 29, 2005, by Resources in favor of Agent and Lenders with respect to the Capital Stock of Merchandising and Enterprises, (iii) the Pledge and Security Agreement, dated June 29, 2005, by Enterprises in favor of Agent and Lenders with respect to membership interests of Fabrics LLC, (iv) the Trademark Collateral Assignment and Security Agreement, dated June 29, 2005, by and between Enterprises and Agent, and (v) the Affiliate Subordination Agreement, dated June 29, 2005, by and among Agent, Resources and Enterprises, as acknowledged and agreed to by Parent and Merchandising, in each case as in effect immediately prior to the Petition Date.
Existing Guarantor Documents means, collectively, (i) Guarantee, dated as of March 11, 1999, by Guarantors in favor of Lender, (ii) General Security Agreement, dated as of March 11, 1999, by Holdings in favor of Lender, (iii) Pledge and Security Agreement, dated as of March 11, 1999, by Holdings in favor of Lender with respect to the outstanding capital stock of Borrower, (iv) General Security Agreement, dated as of March 11, 1999, by Spectratex in favor of Lender, and (v) Trademark Collateral Assignment and Security Agreement, dated as of March 11, 1999, by Spectratex in favor of Lender, in each instance, as in effect immediately prior to the Petition Date.
Existing Guarantor Documents means, the Guarantee, dated August 30, 2002, by certain Guarantors in favor of Agent, as heretofore amended, as in effect immediately prior to the Petition Date.

More Definitions of Existing Guarantor Documents

Existing Guarantor Documents means the Second Amended and Restated Guaranty, dated as of May 21, 2013, by each Guarantor in favor of Agent for the benefit of Agent and the other Secured Parties, Existing Loan Agreement and any other documents executed by any Guarantor, in each case, as in effect immediately prior to the Petition Date.
Existing Guarantor Documents means the Guarantor Documents, as in effect immediately prior to the Petition Date.
Existing Guarantor Documents means, collectively, (i) Guarantee, dated as of February 9, 2007, by Guarantor in favor of Pre-Petition Agent, as amended, and (iii) Security Agreement, dated as of February 9, 2007, by Guarantor in favor of Pre-Petition Agent, in each instance, as in effect immediately prior to the Petition Date.

Related to Existing Guarantor Documents

  • Guarantor Documents means this Guaranty and all other certificates, documents, agreements and instruments delivered to any Guaranteed Party under or in connection with this Guaranty and the Loan Documents.

  • Subsidiary Guaranty Agreement means each unconditional guaranty agreement executed by the Subsidiary Guarantors in favor of the Administrative Agent for the ratable benefit of the Secured Parties, substantially in the form of Exhibit H, as amended, restated, supplemented or otherwise modified from time to time.

  • Subsidiary Guaranties means the Domestic Subsidiary Guaranty and each Foreign Subsidiary Guaranty.

  • Guaranty Agreements means and includes the Guarantee of the Loan Parties provided for in Section 11, and any other guaranty agreement executed and delivered in order to guarantee the Obligations or any part thereof in form and substance reasonably acceptable to the Administrative Agent.

  • VA Loan Guaranty Agreement means the obligation of the United States to pay a specific percentage of a Mortgage Loan (subject to a maximum amount) upon default of the Mortgagor pursuant to the Servicemen’s Readjustment Act, as amended.

  • Guaranty Agreement means an agreement executed by the Guarantors in substantially the form of Exhibit F-2 unconditionally guarantying on a joint and several basis, payment of the Indebtedness, as the same may be amended, modified or supplemented from time to time.

  • Qualifying Guarantee means an arrangement evidenced by a written instrument pursuant to which a Reference Entity irrevocably agrees (by guarantee of payment or equivalent legal arrangement) to pay all amounts due under an obligation (the “Underlying Obligation”) for which another party is the obligor (the “Underlying Obligor”). Qualifying Guarantees shall exclude any arrangement (i) structured as a surety bond, financial guarantee insurance policy, letter of credit or equivalent legal arrangement or (ii) pursuant to the terms of which the payment obligations of the Reference Entity can be discharged, reduced or otherwise altered or assigned (other than by operation of law) as a result of the occurrence or non-occurrence of an event or circumstance (other than payment). The benefit of a Qualifying Guarantee must be capable of being delivered together with the delivery of the Underlying Obligation.

  • Funding Guarantors as defined in Section 7.2.

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Holdings Guaranty means the Holdings Guaranty made by Holdings in favor of the Administrative Agent on behalf of the Secured Parties, substantially in the form of Exhibit F.

  • Guarantor Payment as defined in Section 5.11.3.

  • Guaranty means, with respect to any Person, any obligation (except the endorsement in the ordinary course of business of negotiable instruments for deposit or collection) of such Person guaranteeing or in effect guaranteeing any indebtedness, dividend or other obligation of any other Person in any manner, whether directly or indirectly, including (without limitation) obligations incurred through an agreement, contingent or otherwise, by such Person:

  • Subsidiary Guaranty is defined in Section 9.7(a).

  • Note Guaranty means the guaranty of the Notes by a Guarantor pursuant to this Indenture.

  • Additional Senior Debt Documents means, with respect to any series, issue or class of Additional Senior Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Senior Collateral Documents.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Subsidiary Loan Agreements means the agreements to be entered into pursuant to Section 3.01 (b) of this Agreement, as the same may be amended from time to time, and such term includes all schedules to the Subsidiary Loan Agreements;

  • Contributing Guarantors as defined in Section 7.2.

  • Parent Credit Agreement means that Credit Agreement, dated as of the date hereof, by and among FE and FET as borrowers, the banks and other financial institutions party thereto from time to time, and JPMorgan as administrative agent, as amended, amended and restated or otherwise modified from time to time.

  • Non-Paying Guarantor has the meaning assigned to such term in Section 10.11.

  • Intercompany Indebtedness means Indebtedness of Company or any of its Subsidiaries which is owing to Company or any of its Subsidiaries.

  • Subsidiary Loan Agreement means the agreement to be entered into between the Borrower and ECTEL pursuant to Section 3.01(b) of this Agreement, as the same may be amended from time to time; and such term includes all schedules to the Subsidiary Loan Agreement;

  • Existing Security Documents shall have the meaning assigned to such term in the recitals hereto.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Credit Facility Documents means the collective reference to any Credit Facility, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.
