Each Existing Investor shall pay all Selling Expenses in connection with any sale of its Registrable Securities hereunder.
No Existing Investor may participate in such Underwritten Offering unless such Existing Investor agrees to sell its Registrable Securities on the basis provided in such underwriting agreement and completes and executes all questionnaires, powers of attorney, indemnities and other documents reasonably required under the terms of such underwriting agreement.
For clarification purposes, this provision constitutes a separate right granted to each Investor and each Other Existing Investor by the Company and negotiated separately by each Investor, and is intended for the Company to treat the Investors and the Other Existing Investors as a class and shall not in any way be construed as the Investors acting in concert or as a group with the Other Existing Investors with respect to the purchase, disposition or voting of Securities or otherwise.
If any Existing Investor disapproves of the terms of an underwriting, such Existing Investor may elect to withdraw therefrom by notice to the Company and the Managing Underwriter; provided, however, that such withdrawal must be made on or before the pricing of any such Underwritten Offering.
Such indemnity shall remain in full force and effect regardless of any investigation made by or on behalf of such Existing Investor or any such director, officer or controlling Person, and shall survive the transfer of such securities by such Existing Investor.
