Existing Lease Documents definition

Existing Lease Documents means, collectively, the MSN 41389 Lease Documents, MSN920056 Lease Documents, the MSN 920287 Lease Documents, the MSN 920288 Lease Documents, the MSN 920062 Lease Documents and the MSN 920063 Lease Documents.
Existing Lease Documents means, collectively, the Unit 10/20/30 Facility Lease, the Unit 40 Site Lease, the Uxxx 00 Xxxx Xxxxxxxx and the Uxxx 00 Facility Lease.
Existing Lease Documents means (i) the CPLV Lease, (ii) the CPLV MLSA, (iii) the Non-CPLV Lease, (iv) the Non-CPLV MLSA, (v) the Joliet Lease and (vi) the Joliet MLSA. “ Financing ” shall have the meaning given in Section 4.5(a) .

  • As earlier disclosed in the recitals of this Agreement, concurrently with the execution and delivery of, and as part of the transactions evidenced by, the Existing Lease Documents, Balanced Care was granted the right to acquire the outstanding stock of the Third Party Lessees.

  • The Buyer, the Guarantor and the BCC Subsidiaries wished to avoid the damage to their respective businesses and reputations which may have resulted from (i) the continued inability by the Guarantor and the BCC Subsidiaries to comply with their respective obligations under the Existing Lease Documents and any subsequent exercise by the Lessor of its rights and remedies in connection therewith and (ii) the continued prosecution of the Pending Litigation by La Quinta-TRS.

  • Except as set forth on EXHIBIT D, none of the Existing Lease Documents has been amended or modified.

  • Letters of Credit: Collectively, the Existing Letters of Credit, the Blue Xxxx Letter of Credit, the Richmond Letter of Credit, the Montgomery Letter of Credit and the West Bloomfield Hills Letter of Credit and any other letter of credit obtained by the Seller (or any Single Purpose Entity) and issued to any Landlord as collateral for the obligations of the Seller or such Single Purpose Entity under the terms of any of the Existing Lease Documents.

  • Except as otherwise set forth on EXHIBIT O attached hereto, no other letters of credit are required to be delivered by the Seller to any of the Landlords pursuant to the terms of the Existing Lease Documents.


More Definitions of Existing Lease Documents

Existing Lease Documents means the lease documents entered into in respect of the Property as at the date of the Purchase Agreement as provided to the Initial Noteholders in electronic or paper form before the Issue Date;
Existing Lease Documents. Collectively, the Lease Documents as defined under each of the Existing Leases.

Related to Existing Lease Documents

  • Lease Documents has the meaning set forth in the Basic Servicing Agreement; provided that such definition shall refer only to lease documents related to Leases allocated to the 20[●]-[●] Lease SUBI.

  • Existing Leases means those leases, license agreements and occupancy agreements identified on Schedule 2.1.3, as the same may be amended or modified from time to time in accordance with the terms of this Agreement.

  • Existing Lease shall have the meaning assigned thereto in Section 10.7.

  • Financing Lease any lease of property, real or personal, the obligations of the lessee in respect of which are required in accordance with GAAP to be capitalized on a balance sheet of the lessee.

  • Facility Leases means agreements for the lease by the Company or any of its Subsidiaries or Joint Ventures of real estate utilized as a vehicle parking facility and/or for ancillary parking and transportation services.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Guarantee Agreement, the Notes and the Trust Securities.

  • Facility Lease means a lease or master lease with respect to any Real Property Asset owned or ground leased by any of the Consolidated Parties as lessor, to a third party Tenant, which, in the reasonable judgment of the Administrative Agent, is a triple net lease such that such Tenant is required to pay all taxes, utilities, insurance, maintenance, casualty insurance payments and other expenses with respect to the subject Real Property Asset (whether in the form of reimbursements or additional rent) in addition to the base rental payments required thereunder such that net operating income to the applicable Consolidated Party for such Real Property Asset (before non-cash items) equals the base rent paid thereunder; provided, that each such lease or master lease shall be in form and substance reasonably satisfactory to the Administrative Agent.

  • Operating Leases means all real or personal property leases under which any Company is bound or obligated as a lessee or sublessee and which, under GAAP, are not required to be capitalized on a balance sheet of such Company; provided that Operating Leases shall not include any such lease under which any Company is also bound as the lessor or sublessor.

  • Ground Lease means a lease creating a leasehold estate in real property where the fee owner as the ground lessor conveys for a term or terms of years its entire interest in the land and buildings and other improvements, if any, comprising the premises demised under such lease to the ground lessee (who may, in certain circumstances, own the building and improvements on the land), subject to the reversionary interest of the ground lessor as fee owner. With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:

  • Ground Leases Those certain leases with respect to real property that is a portion of the Leased Property, pursuant to which Landlord is a tenant and which leases have either been approved by Tenant or are in existence as of the date hereof and listed on Schedule A hereto.

  • Operating Lease of a Person means any lease of Property (other than a Capitalized Lease) by such Person as lessee which has an original term (including any required renewals and any renewals effective at the option of the lessor) of one year or more.

  • Existing Facility Agreement means Existing Facility Agreement A, Existing Facility Agreement B, Existing Facility Agreement C and Existing Facility Agreement D and, in the plural, means all of them;

  • Lease Agreements shall have the meaning set forth in Section 3.14.

  • Lessee Documents Has the meaning set forth in Section 6.01(b) of the Participation Agreement.

  • Master Lease Agreement has the meaning set forth in Section 7.2(c)(xiv).

  • Existing Indebtedness Agreements shall have the meaning provided in Section 5.05.

  • Prior Loan Agreement is defined in Recital A of this Agreement.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced (whether or not upon termination, and whether with the original lenders or otherwise), restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Space Leases means any Lease or sublease thereunder (including, without limitation, any Major Space Lease) or any other agreement providing for the use and occupancy of a portion of the Property as the same may be amended, renewed or supplemented.

  • Equipment Lease means a Contract for the lease of Equipment or for the purchase of Equipment under a conditional sales or title retention agreement.

  • Sub-Lease means the sub-lease entered into following the approval of an Approved Sub-lease;
