Existing Shares definition

Existing Shares means shares of the Company Common Stock Beneficially Owned by Stockholder as of the date hereof.

Existing Shares means, with respect to the Stockholder, the number of Company Shares Beneficially Owned and/or owned of record by the Stockholder as of the date hereof, as set forth on Schedule A.

Existing Shares means the shares of Company Common Stock set forth opposite the Stockholder’s name on Schedule 1.A hereto.

Examples of Existing Shares in a sentence

• On the date hereof the Existing Shares are all of the Shares currently beneficially owned by Stockholder.

• On the date hereof, the Existing Shares constitute all of the Shares owned of record or Beneficially Owned by such Stockholder.

• Shareholder currently has with respect to the Existing Shares, and at Closing will have with respect to the Shares, good, valid and marketable title, free and clear of all liens, encumbrances, restrictions, options, warrants, rights to purchase, voting agreements or voting trusts, and claims of every kind (other than the encumbrances created by this Agreement and other than restrictions on transfer under applicable Federal and State securities laws).

• The Stockholder does not Beneficially Own or own of record any Company Shares other than the Existing Shares.

• Such Stockholder has sole voting power and sole power to issue instructions with respect to the matters set forth in Sections 2, 3 and 4 hereof, sole power of disposition, sole power of conversion, sole power to demand appraisal rights and sole power to agree to all of the matters set forth in this Agreement, in each case with respect to all of the Existing Shares with no limitations, qualifications or restrictions on such rights, subject to applicable securities laws and the terms of this Agreement.

Existing Shares has the meaning given to such term in sub-Clause 2.1 hereof.

Existing Shares has the meaning ascribed thereto in Section 2(a)(i).

Existing Shares means the 59,945,609 Shares in issue at the date of this agreement, including the Sale Shares;

Existing Shares means with respect to a Shareholder, the Ordinary Shares and ADSs Beneficially Owned by such Shareholder as of the date hereof, as set forth opposite such Shareholder’s name on Schedule A hereto.

Existing Shares means Company T Shares and Company T ADSs Beneficially Owned by a Company T Shareholder on the date hereof, as set forth opposite such Company T Shareholder’s name on Schedule 1 hereto.

Existing Shares means all existing shares in the equity of SFC issued and outstanding immediately prior to the Effective Time and all warrants, options or other rights to acquire such shares, whether or not exercised as at the Effective Time.
