Subject to the License-Related Terms, Yahoo! hereby grants to Microsoft, effective as of the Commencement Date, a worldwide, non-sublicensable (except as set forth in Section 2.5), non-exclusive license during the Term under any Yahoo! Patents solely for Microsoft to implement services for, and provide services to, Yahoo! and its Authorized Affiliates (and not for or to any other third parties) under the Search Agreement within the Field of Use and any Expanded Field of Use.

Before Akouos commences any legal proceeding with respect to the Infringement, Akouos shall consider in good faith the views of MEE, particularly as they relate to the potential effects outside of the Field of Use if the BCH Patent Rights are not involved, and the potential effects outside of the Expanded Field of Use if the BCH Patent Rights are involved, and the effects on the public interest, provided that those views are provided to Akouos in a timely manner.
Subject to the License-Related Terms, Yahoo! hereby grants to Microsoft, effective as of the Commencement Date, a worldwide, non-sublicensable (except as set forth in Section 2.5), license under the Yahoo! Licensed Non-Patent IPR to reproduce, modify, display, create derivative works of, use and otherwise exploit (“Exploit”) the Yahoo! Technology and such derivative works in connection with providing services in the Field of Use and any Expanded Field of Use (the “Yahoo! Technology License”).
If either Party learns of an infringement, unauthorized use, misappropriation or ownership claim or threatened infringement or other such claim in the Field of Use by a Third Party with respect to any Licensed Intellectual Property and/or in the Expanded Field of Use by a Third Party with respect to any BCH Patent Rights, such Party shall promptly notify the other Party and shall provide available evidence of such infringement.
MEE independently has the right to join any Infringement proceeding that is brought by Akouos for the Field of Use or for the Expanded Field of Use as permitted under this Section 9.2 and shall be responsible for funding its pro rata portion of the out-of-pocket costs and expenses associated with the legal proceedings incurred by Akouos from the date of joining based on allocating an equal portion of such costs and expenses to Akouos, MEE, and any Third Party joining in such proceeding, as applicable.
For the avoidance of doubt, Evolent’s right to use the Evolent Improvements shall be subject to the same restrictions with respect to Field of Use during the Restriction Period, and the Field of Use and the Expanded Field of Use after the expiration of the Restriction Period, to the same extent as applicable to the HealthPlaNet Technology as set forth in Sections 3.1.1 and 3.1.2 and the restrictions set forth in Section 3.3 above, notwithstanding Evolent’s ownership of the Evolent Improvements.
Subject to the Technology License-Related Terms, and except as otherwise provided in the applicable Supplemental Technology Schedule, Yahoo! hereby grants to Microsoft a non-exclusive license under the Yahoo! Licensed Supplemental Non-Patent IPR to Exploit the Yahoo! Supplemental Technology and derivative works thereof solely in connection with providing services in the Field of Use and any Expanded Field of Use (the “Yahoo! Supplemental Technology License”).
For the avoidance of doubt, Evolent’s right to use the Evolent Improvements shall be subject to the same restrictions with respect to Field of Use during the Restriction Period, and Expanded Field of Use after the expiration of the Restriction Period, to the same extent as applicable to the HealthPlaNet Technology and UPMC Improvements as set forth in Sections 3.1.1, 3.1.2, and 3.3 in the HP License, notwithstanding Evolent’s ownership of the Evolent Improvements.
The Expanded Use License granted herein is intended to eliminate the five percent (5%) transmisivity limitation as specified within the Technology Sharing and License Agreement effective September 17, 2004 between the parties, and to allow the use of all technologies licensed, including any derivative works there from, to be utilized by XsunX within the XsunX Expanded Field of Use and in the development of the Expanded Business of XsunX as defined herein.
