Examples of Extension Adviser in a sentence

  • The Extension Adviser shall not be entitled to receive a fee for acting in such capacity.

  • The Extension Adviser shall be elected for the purpose of approving certain actions of the Special Servicer specified herein in respect of extending the maturity of any Specially Serviced Mortgage Loan beyond the third anniversary of its original maturity date.

  • Promptly after the Closing Date (but in no event later than 30 days after the Closing Date), the Trustee shall hold an election to determine the Extension Adviser.

  • If a written objection to such extension from the Extension Adviser has not been received by the Special Servicer within said 10-day period, then the Extension Adviser's approval shall be deemed to have been given.

  • The Trustee (or any other Person duly elected as Extension Adviser) may resign as Extension Adviser at any time for any reason or no reason upon not less than five Business Days' written notice to the Depositor, the Trustee, the Special Servicer, the Servicer and each Class [A], Class [B], Class [C], Class [D] and Class [E] Certificateholder.

  • The Depositor, the Servicer, the Special Servicer, the Extension Adviser and any director, officer, employee or agent of the Depositor, the Servicer, the Special Servicer or the Extension Adviser may rely in good faith on any document of any kind which, prima facie, is properly executed and submitted by any Person respecting any matters arising hereunder.

  • The Extension Adviser may act solely as a representative of the interests of the Certificateholders entitled to vote in the election thereof.

  • In addition, the Extension Adviser shall be entitled to confirm to its reasonable satisfaction that all conditions precedent to the granting of any such extension set forth in this Agreement have been satisfied.

  • The Extension Adviser shall not have any liability to the Trust Fund or the Certificateholders for any action taken, or for refraining from the taking of any action, in good faith pursuant to this Agreement, or for errors in judgment.

Related to Extension Adviser

  • Non-Extension Advance means an Advance made pursuant to Section 2.02(b).

  • Extension Date has the meaning specified in Section 2.19(b).

  • Extension Amendment has the meaning set forth in Section 2.16(d).

  • Special Termination Advance means an Advance made pursuant to Section 2.02(g).

  • Initial Term Facility means the Initial Term Loan Commitments and the Initial Term Loans made hereunder.

  • Delayed Draw Term Loan Commitment Termination Date means the earliest to occur of (i) December 31, 2008, (ii) the date the Delayed Draw Term Loan Commitments are permanently reduced to zero pursuant to Section 2.1, and (iii) the date of the termination of the Delayed Draw Term Loan Commitments pursuant to Section 11.1.

  • Extension Determination Date means, in respect of a Series of Covered Bonds, the date falling two Business Days after the expiry of seven days from (and including) the Final Maturity Date of such Covered Bonds.

  • Extension Agreement shall have the meaning provided in Section 2.15(c).

  • Extension Request has the meaning provided in Section 2.20(a).

  • Letter of Credit Termination Date means the fifth Domestic Business Day prior to the Termination Date.

  • Extension Offer has the meaning specified in Section 2.15(a).

  • Auto-Extension Letter of Credit has the meaning specified in Section 2.03(b)(iii).

  • Initial Term Loan Facility means the Initial Term Loan Commitments and the provisions herein related to the Initial Term Loans.

  • Term Loan Commitment Termination Date means the earliest to occur of (a) the Amendment No. 9 Effective Date, (b) the date the Term Loan Commitments are permanently reduced to zero pursuant to 2.01(b) and (c) the date of the termination of the Term Loan Commitments pursuant to Section 9.01.
