Facility Increase Amendment definition

Facility Increase Amendment as defined in Section 2.15(a).

Facility Increase Amendment means an amendment to this Agreement executed by the Obligors, the Administrative Agent and any Additional Lender containing provisions substantially similar to those set forth in the form attached as Exhibit N and any such additional provisions as may be reasonably requested by such Additional Lender for the purpose of providing such Additional Lender the rights and obligations of a Lender hereunder and under the other Loan Documents.

Facility Increase Amendment means an amendment substantially in the form of Exhibit E.

Examples of Facility Increase Amendment in a sentence

• A Facility Increase Amendment may, without the consent of any other Revolving Credit Lenders, effect such amendments to any Loan Documents as may be reasonably necessary or appropriate, in the reasonable opinion of the Administrative Agent, to effect the provisions of this Section 2.13.

• This Facility Increase Amendment, duly executed and delivered by the parties hereto.

• This Facility Increase Amendment is limited as specified herein and shall not constitute a modification, acceptance or waiver of any other provision of the Credit Agreement.

• The Borrowers shall pay directly to the applicable L/C Issuer for its own account a fronting fee at a rate specified in the Revolving Facility Increase Amendment (or as otherwise agreed between the Borrowers and such L/C Issuer) computed on the maximum daily amount available to be drawn under such Letter of Credit on a quarterly basis in arrears.

• This Facility Increase Amendment and the rights and obligations of the parties hereunder shall be governed by and construed in accordance with the laws of the State of New York.

• Any such Facility Increase Amendment may, without the consent of any other Banks, effect such amendments to any Credit Documents as may be necessary or appropriate, in the opinion of the Administrative Agent, to effect the provisions of this Section 2.26.

• This Facility Increase Amendment is limited as specified herein and shall not constitute a modification, acceptance or waiver of any other provision of the Revolving Credit Agreement.

• Notwithstanding anything to the contrary contained herein, each Xxxxxx agrees that neither the consent of the Majority Lenders nor any Lender individually shall be required in connection with the execution of a Facility Increase Amendment to implement the amendments contemplated therein.

• For the avoidance of doubt, the foregoing shall not be deemed to constitute an agreement by any Lender to enter into a Facility Increase Amendment or increase the amount of its Commitment.

• A certificate of each Obligor as to the authority, incumbency and specimen signatures of the individuals who have executed this Facility Increase Amendment and other documents contemplated hereby on behalf of such Obligor, substantially in the form of Exhibit D to the Revolving Credit Agreement (adjusted as necessary).

Facility Increase Amendment means an amendment and accession agreement in form and substance reasonably acceptable to the Initial Lender, the Facility Agent and the Borrower pursuant to which an Additional Lender becomes a party to the Credit Agreement and agrees to provide an Additional Commitment in accordance with Clause 19.3(c)(ii) of the Credit Agreement and Schedule II to the Credit Agreement is amended to reflect such Additional Lender and Additional Commitment.
