Farm Tires definition

Farm Tires means the tires described in Goodyear’s Farm Tire Handbook 2003 (excluding the specific tires set forth on Schedule A of the Purchase Agreement) and the additional tires listed on Schedule B of the Purchase Agreement. Copies of those schedules are attached hereto as Exhibit C.
Farm Tires shall have the meaning assigned such term in the Recitals.
Farm Tires means the tires described in Goodyear’s Farm Tire Handbook 2003 (the “Farm Tire Handbook”), excluding therefrom the tires described in Schedule 2.2(p)(i) hereto.

Examples of Farm Tires in a sentence

  • For a period of up to one year from the Closing Date, LICENSOR will permit LICENSEE to manufacture Farm Tires bearing the Kelly-Springfield and/or Power Mxxx trademarks for warranty and replacement purposes and in order to allow an orderly transition of existing Kxxxx retailers to the Titan or GOODYEAR brands.

  • Goodyear has no Knowledge that any customer of the LAT Business listed on the Corresponding Schedule will cease to purchase Farm Tires or substantially reduce its purchases following the Closing.

  • Goodyear, Goodyear Canada and Goodyear Mexico are involved, as of the date hereof, in the manufacture, distribution and/or sale, in the United States, Canada and Mexico, respectively, of Farm Tires (the business described in Recitals A and B hereto, as currently conducted, including the goodwill associated therewith, and except in respect of (i) any assets that constitute Excluded Assets hereunder and (ii) retail sales to end users other than original equipment manufacturers, the “Business”).


More Definitions of Farm Tires

Farm Tires means the tires described in Goodyear’s Farm Tire Handbook 2003 (the “Farm Tire Handbook”), excluding therefrom the tires described in Schedule 2.2(p)(i) hereto. B. Goodyear, Goodyear Canada and Goodyear Mexico are involved, as of the date hereof, in the manufacture, distribution and/or sale, in the United States, Canada and Mexico, respectively, of Farm Tires (the business described in Recitals A and B hereto, as currently conducted, including the goodwill associated therewith, and except in respect of (i) any assets that constitute Excluded Assets hereunder and (ii) retail sales to end users other than original equipment manufacturers, the “Business”).
Farm Tires has the meaning set forth in Recital A.

Related to Farm Tires

  • Farm products means goods, other than standing timber, with respect to which the debtor is engaged in a farming operation and which are:

  • Farm use means used in farming, including use in a tractor or other farm machines used directly in farming, in a furnace heating a farm building, in providing lighting in farm buildings, and use in operating motors of machines used directly in farming.

  • Farm machinery means all machines and tools that are used in the production, harvesting, and care of farm products, and includes trailers that are used to transport agricultural produce or agricultural production materials between a local place of storage or supply and the farm, agricultural tractors, threshing machinery, hay-baling machinery, corn shellers, hammermills, and machinery used in the production of horticultural, agricultural, and vegetable products.

  • Farm tractor means every motor vehicle designed and used primarily as a farm implement for drawing plows, mowing machines, and other implements of husbandry.

  • Farm winery means an establishment (i) located on a farm in the Commonwealth with a producing

  • Farm equipment means equipment used directly for farming

  • Machinery means any article or combination of articles assembled, arranged or connected and which is used or intended to be used for converting any form of energy to performing work, or which is used or intended to be used, whether incidental thereto or not, for developing, receiving, storing, containing, confining, transforming, transmitting, transferring or controlling any form of energy;

  • Cemetery merchandise means merchandise described in section 4(1)(k)(i).

  • Accessions shall have the meaning given that term in the UCC.

  • Associated equipment means equipment that is used in conjunction with a radiographic exposure device to make radiographic exposures that drives, guides, or comes in contact with the source, e.g., guide tube, control tube, control (drive) cable, removable source stop, “J” tube and collimator when it is used as an exposure head.

  • Fixtures and Fittings means all the Landlord’s furniture, furnishings, sanitary ware, decorative features, white goods, other equipment or any floor, ceiling or wall coverings and include anything listed in any Inventory and Schedule of Condition supplied.

  • farm building means that part of a bona fide farming operation encompassing barns, silos and other ancillary development to an agricultural use, but excluding a residential use;

  • Farm utility vehicle means a vehicle that is powered by a motor and is designed for off-road use

  • Alarm user means the person, firm, partnership, association, corporation, company, or organization of any kind in control of any building, structure, or facility or portion thereof wherein an alarm system is maintained.

  • Exempt Wholesale Generator has the meaning provided in 18 C.F.R. Section 366.1.

  • Fixtures and Equipment means, with respect to any Person, all of the furniture, fixtures, furnishings, machinery and equipment owned or leased by such Person and located in, at or upon the Assets of such Person.

  • Excluded Personal Property means the following:

  • Excluded Equipment means (i) defibrillators, enhanced emergency medical kits and other medical equipment, (ii) airphones and other components or systems installed on or affixed to the Airframe that are used to provide individual telecommunications or electronic entertainment to passengers aboard the Aircraft, (iii) galley carts, beverage carts, waste containers, liquor kits, food tray carriers, ice containers, oven inserts, galley inserts, and other branded passenger convenience or service items, (iv) any items, equipment or systems leased by Company or any Permitted Lessee (other than items, equipment, or systems that are leased from Company pursuant to the applicable Lease) or owned by Company or any Permitted Lessee subject to a conditional sales agreement or a security interest (other than the security interest granted under the Indenture), and (v) cargo containers.

  • Motorboat means the same as that term is defined in Section 73-18-2.

  • Appliances means and include electrical, mechanical and electronic appliances such as refrigerator, television, DVD player, videocassette recorder/player, washing machine, microwave oven, music system, personal computer, laptops and air-conditioner contained or fixed in the Insured’s home for domestic use.

  • Load Control Equipment means the equipment (which may include, but is not limited to, ripple receivers and relays) that is from time to time installed in, over or on Consumer’s Premises for the purpose of receiving signals sent by Load Signalling Equipment and switching on and off, or otherwise controlling, controllable load;

  • Control equipment means equipment necessary for the setting and/or unsetting of an immobilizer.

  • Fuel burning equipment means any furnace, boiler, apparatus, stack and all associated equipment, used in the process of burning fuel.

  • Data Processing Equipment means any equipment, computer hardware, or computer software (and the lease or licensing agreements related thereto) other than Personal Computers, owned or leased by the Failed Bank at Bank Closing, which is, was, or could have been used by the Failed Bank in connection with data processing activities.

  • Fixtures means those leasehold improvements, additions, alterations and installations constituting all or a part of Bank Premises and which were acquired, added, built, installed or purchased at the expense of the Failed Bank, regardless of the holder of legal title thereto as of Bank Closing.

  • Material Equipment means such equipment, which, acting in accordance with a Reasonable and Prudent Standard, the Generator could reasonably be expected to have ordered and/or concluded a supply agreement in respect of in accordance with the Target Commissioning Date, and in any event, such equipment shall include the photovoltaic panels.
