Final Measurement Date definition

Final Measurement Date means the date identified as such on the cover page of this Award Agreement.

• Notwithstanding the foregoing, if there is a Change in Control prior to the Final Measurement Date, payment of the Award will be based on performance at the level determined in accordance with the provisions of Section 3.4.

• If the Final Measurement Date occurs prior to a Change in Control, the Award will be settled in shares of Tyson Class A common stock no later than sixty (60) days after the Final Measurement Date; provided, however, that if the 60-day period for execution and non-revocation of a Release pursuant to Section 3.3 above will span two (2) calendar years, then the settlement of the Award will occur as soon as practicable after, but no earlier than, the first (1st) day of the second (2nd) calendar year.

• If the Final Measurement Date occurs prior to a Change in Control, the Award will be settled in shares of Tyson Class A common stock no later than seventy (70) days after the Final Measurement Date.

• If a Change in Control occurs on or prior to the Final Measurement Date, payment of the Award, to the extent earned, will be made no later than seventy (70) days after the later of the effective date of the Change in Control or your Termination of Employment.

• From and after the day following the Final Measurement Date, the Initial Interest Rate shall be increased by the amount equal to the increase, if any, in the Option Adjusted Spread quotation during the Measurement Period, rounded to the nearest basis point; provided, that the Initial Interest Rate shall not be increased by more than 25 basis points.

Final Measurement Date means November 30, 2025.

Final Measurement Date means February 4, 2015; provided that the First Measurement Date has occurred prior to such date. Notwithstanding the foregoing, in the event that on any date prior to February 4, 2015, the Sponsor Shareholders do not directly or indirectly own any of the Class A Shares held by the Sponsor Shareholders as of February 4, 2008, “Final Measurement Date” shall mean the date the Sponsor Shareholders first do not directly or indirectly own any of the Class A Shares held by the Sponsor Shareholders as of February 4, 2008.

Final Measurement Date means the first date on or after the 20th Trading Day after the Pricing Date on which the Option Adjusted Spread quotation appears in the Electric Index.

Final Measurement Date has the meaning set forth in Section 3.4(c).
