Financial Services Assets definition

Financial Services Assets means, for any period, to the extent included in the amount set forth as “Financial Services Activities – Lease financing and other receivables” in the consolidated balance sheet of the Borrower and its Subsidiaries as of its most recently completed fiscal quarter, any lease contracts and installment financing contracts held by the Borrower or any Subsidiary, but only as to such lease contracts, if and to the extent such lease contract was created by the Borrower or such Subsidiary in the normal course of business and was not acquired from another Person.
Financial Services Assets means: (i) the ownership interests (to the extent held by Temple-Inland, Forestar, Guaranty or any of their respective Affiliates immediately prior to the Relevant Time) in each member of the Guaranty Group (other than shares of capital stock to be distributed in the Guaranty Distribution); (ii) all Financial Services Contracts, any rights or claims of Temple-Inland, Forestar, or Guaranty or any of their respective Affiliates, arising thereunder, and any other rights or claims or contingent rights or claims of Temple-Inland, Forestar, Guaranty, or any of their respective Affiliates, primarily relating to or arising from any other Financial Services Asset or the Financial Services Business; (iii) all Assets owned, leased or held by Temple-Inland, Forestar, Guaranty or any of their respective Affiliates immediately prior to the Relevant Time that are used primarily in the Financial Services Business, including inventory, accounts receivable, goodwill facilities and equipment [any other bank specific items to be listed]; (iv) subject to ARTICLE X, any rights of any member of the Guaranty Group under any Financial Service Policies and any Financial Services Shared Policies to the extent related to the Financial Services Business; (v) the Assets listed or described on Schedule 1.1(47)(v) and any and all Assets that are expressly contemplated by this Agreement or any Ancillary Agreement as Assets to be retained by, or Transferred to, any member of the Guaranty Group [MoPac Building needs to be on schedule]; (vi) any Exclusive Guaranty Contingent Gain; (vii) all Guaranty Accounts, and, subject to the provision of Section 2.5, all cash, cash equivalents, and securities on deposit in such accounts immediately prior to the Relevant Time; and (viii) any collateral securing any Financial Services Liability or a Liability of a Venture of a member of the Guaranty Group immediately prior to the Relevant Time. Notwithstanding the foregoing, the Financial Services Assets shall not in any event include: (A) the Assets listed or described on Section 1.1(47)(viii)(A); [Depending on timing may be Sunbelt – no others contemplated] or (B) any Assets that are expressly contemplated by this Agreement or any Ancillary Agreement as Assets to be retained by or Transferred to, any member of the Temple-Inland Group or Forestar Group, including any Exclusive Temple-Inland Contingent Gain or Exclusive Forestar Contingent Gain.
Financial Services Assets as used in the Agreement shall be deemed to mean the assets of "Financial Services" (which in turn shall be deemed to mean Arvida Disney Financial Services, Inc., a subsidiary of Arvida Disney Corporation, and all subsidiaries thereof, including without limitation Arvida Mortgage Company).

Examples of Financial Services Assets in a sentence

  • The Borrower will, as of the last day of each fiscal quarter of the Borrower, maintain (x) the ratio of Financial Services Debt — Municipal Leases to Financial Services Assets — Municipal Leases at no more than .95 to 1.0 and (y) the ratio of Financial Services Debt — Other than Municipal Leases to Financial Services Assets — Other than Municipal Leases at no more than .91 to 1.0.

Related to Financial Services Assets

  • Financial Services Business for purposes of this Unit Agreement shall mean the business of banking, including deposit, credit, trust and investment services, mortgage banking, asset management, and brokerage and investment banking services.

  • Information processing system means an electronic system for creating, generating, sending, receiving, storing, displaying, or processing information.
