Financing Commitment Letters definition

Financing Commitment Letters shall have the meaning set forth in Section 5.7(b).
Financing Commitment Letters means the executed commitment letters (including a redacted version of the fee letter (the “Fee Letter”), each dated the date hereof, among JPMorgan Chase Bank, N.A. and X.X. Xxxxxx Securities LLC pursuant to which, upon the terms and subject to the condition set forth therein, the lenders party thereto have committed to lend the amounts set forth therein (the “Financing”) for the purpose of funding the transactions contemplated by this Agreement.
Financing Commitment Letters will include such documents as amended or modified in compliance with the provisions of Section 7.3, and (ii) the “Financing” will include the financing contemplated by the Financing Commitment Letters as amended or modified in compliance with the provisions of Section 7.3. As of the date of this Agreement, Newco has fully paid, or caused to be fully paid, any and all commitment fees or other fees that have been incurred and are due and payable in connection with the Financing Commitment Letters on or prior to the date of this Agreement, and Newco will pay, or cause to be paid, when due all other commitment fees and other fees arising under the Financing Commitment Letters as and when they become due and payable thereunder. The Debt Commitment Letter, in the form so delivered to the Company, is in full force and effect as of the date hereof, and is a legal, valid and binding obligation of Newco and, to the knowledge of Newco, the other parties thereto, enforceable against the parties thereto in accordance with its terms, subject to the Enforceability Limitations.

Examples of Financing Commitment Letters in a sentence

  • Notwithstanding anything contained herein to the contrary, nothing in this Section 11.11 shall in any way affect any Party’s or any of their respective Affiliates’ rights and remedies under any binding agreement to which a Financing Source is a party, including the Financing Commitment Letters.

  • Notwithstanding anything to the contrary contained in this Agreement, in no event shall the reasonable best efforts of Parent require or be deemed or construed to require Parent to (I) seek equity financing from any source (other than the Equity Financing) or (II) pay aggregate fees in excess of those contemplated by the Financing Commitment Letters (whether to secure waiver of any conditions contained in any Commitment Letter).

  • For the avoidance of doubt, nothing in this Section 8.9(a) shall require Parent or Merger Sub to disclose any information that is subject to the attorney-client or work product privilege or similar privilege or the disclosure of which would result in the breach of any of Parent’s or Merger Sub’s confidentiality obligations set forth in the Financing Commitment Letters.


More Definitions of Financing Commitment Letters

Financing Commitment Letters has the meaning set forth in Section 4.07(b).
Financing Commitment Letters means the Financing Commitment Letters as so amended, replaced, supplemented or modified in accordance with this Section 4.4(a) and, in the event that Buyer obtains Alternative Financing in accordance with this Section 4.4(a), the term “Financing Commitment Letters” shall mean the commitment letter or letters (as amended, replaced, supplemented or modified in accordance with this Section 4.4(a))
Financing Commitment Letters and “Debt Commitment Letters” as used in this Section 7.05 shall be deemed to include the Financing Commitment Letters and Debt Commitment Letters that are not so amended, modified or replaced at the time in question or that are amended, modified, or replaced in accordance with this Section 7.05, and (ii) the term “Financing” as used herein shall mean the financing contemplated by the Financing Commitment Letters as amended, modified or replaced in accordance with this Section 7.05.
