First Exchange Rate definition

First Exchange Rate means the rate specified as such in the relevant Launch Announcement and Supplemental Listing Document;

  • The “Cash Settlement Amount” means, in respect of every Exercise Amount of Warrants, an amount calculated by the Issuer as equal to the excess of the Closing Level on the Valuation Date over the Strike Level, multiplied by the Index Currency Amount, either converted (if applicable) (i) into the Settlement Currency at the Exchange Rate or, as the case may be, (ii) into Interim Currency at the First Exchange Rate and then converted into the Settlement Currency at the Secondary Exchange Rate.

First Exchange Rate means the mid-quote for the USD/JPY exchange rate (expressed as the number of units of JPY per 1 unit of USD) taken by us at or about 2:00 p.m. (Hong Kong time) on the Valuation Date from Reuters page “TKFE”, or such replacement page on the Reuters service that displays the information currently displayed on Reuters page “TKFE”, or, if the Reuters service ceases to display such information, such page that displays such information on such other service as may be selected by us in a commercially reasonable manner.

Related to First Exchange Rate

  • Exchange Rate means, in relation to any amount of currency to be converted into U.S. Dollars pursuant to this Agreement, the U.S. Dollar exchange rate as published in the Wall Street Journal on the relevant date of calculation.

  • Spot Rate for a currency means the rate determined by the Administrative Agent to be the rate quoted by the Person acting in such capacity as the spot rate for the purchase by such Person of such currency with another currency through its principal foreign exchange trading office at approximately 11:00 a.m. on the date two Business Days prior to the date of such determination; provided that the Administrative Agent may obtain such spot rate from another financial institution designated by the Administrative Agent if the Person acting in such capacity does not have as of the date of determination a spot buying rate for any such currency.

  • Base Rate Term SOFR Determination Day has the meaning specified in the definition of “Term SOFR”.
