Fording Meeting definition

Fording Meeting means the special meeting of Securityholders to be held on or before February 19, 2003 and any adjournment(s) or postponement(s) thereof made in accordance with the notice of meeting that forms part of the Information Circular, to consider and to vote on, among other things, the Resolutions;
Fording Meeting means the special meeting of Securityholders to be called and held in accordance with the Interim Order for the purpose of considering the Arrangement Resolution and any adjournments or postponements thereof;

  • Subject to applicable Laws, this Agreement may, at any time and from time to time before or after the holding of the Fording Meeting but not later than the Effective Date, be amended by mutual written agreement of the Parties.

  • If such notice has been delivered prior to the date of the Fording Meeting, such meeting shall, unless the Parties agree otherwise, be postponed or adjourned until the expiry of such period.

  • If Fording provides Purchaser with notice under Section 5.6(a)(i)(C) or 5.6(a)(ii)(B) on a date that is less than eight (8) business days before the date of the Fording Meeting, subject to applicable Laws, Fording shall postpone or adjourn the Fording Meeting to a date that is at least two business days and not more than ten (10) business days following the expiry of the Matching Period or the eight (8) business day period referred to in Section 5.6(a)(ii)(B), as applicable.

Related to Fording Meeting

  • Scoping meeting means a meeting between representatives of the applicant and the EDU conducted for but not limited to the following purposes:

  • Special Meeting means a special meeting of the holders of Voting Shares, called by the Board of Directors for the purpose of approving a supplement or amendment to this Agreement pursuant to Subsection 5.4(b);

  • Company Meeting means the special meeting of Company Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of the Arrangement Agreement, to be called and held in accordance with the Interim Order to consider the Arrangement Resolution.

  • Shareholders Meeting shall have the meaning set forth in Section 5.1.

  • Holders’ Meeting means a meeting among the Holders held in accordance with Clause 17 (Holders’ Meeting).

  • Shareholder Meeting means an annual general meeting of shareholders or special meeting of shareholders of the Company called for the purpose of electing directors to the board of directors of the Company.

  • Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any action by written consent of the Company’s stockholders in lieu thereof, and any adjournment, postponement, rescheduling, continuation or meeting held in lieu thereof;

  • hybrid meeting means a general meeting convened for the (i) physical attendance by shareholders and/or proxies at the Principal Meeting Place and where applicable, one or more Meeting Locations and (ii) virtual attendance and participation by shareholders and/or proxies by means of electronic facilities;

  • Regular Meeting means a scheduled meeting held in accordance with the approved calendar/schedule of meetings.

  • Company Shareholders Meeting shall have the meaning set forth in Section 5.2(b).

  • Meeting means any meeting of:

  • Notice of Meeting means the Notice of Special Meeting which accompanies this Information Circular;

  • Company Shareholder Meeting has the meaning specified in Section 8.2(b).

  • special meeting in lieu of an annual meeting means a special meeting called by Directors for the purpose of electing Directors in the event that an annual meeting is not held on or before such date as may be required by the NYSE Amex, New York Stock Exchange or such other exchange or trading system on which shares are principally traded, if applicable.

  • Company Stockholders Meeting has the meaning set forth in Section 6.2(a).
