Since January 1, 2021, no activities or proceedings of any labor union to organize any Company Employees or Former Company Employees have been pending or, to Seller’s Knowledge, threatened.
Notwithstanding the foregoing provisions of this Section 7.10(b), service and other amounts shall not be credited to Company Employees or Former Company Employees (or their eligible dependents) to the extent the crediting of such service or other amounts would result in the duplication of benefits.

The Company Group shall be responsible for complying with, and providing coverage pursuant to, the health care continuation requirements of COBRA, and the corresponding provisions of the Company Welfare Plans with respect to any Company Employees, Former Company Employees (and their covered dependents) and Former SpinCo Employees (and their covered dependents) who incur a qualifying event under COBRA before, as of, or after the Distribution Time.
All assets in the Parent's Savings Plan attributable to Transferred Company Employees, Former Company Employees and Current Company Employees shall be transferred to the new 401(k) plan maintained by the Company as soon as practical after such new plan's effective date.
