Former Xxxxxxx Employee means, as of the applicable date of determination, any individual whose employment with either Party or any of its respective Subsidiaries and Affiliates terminated for any reason before such applicable date, and who primarily worked for a Xxxxxxx Business at the time of his or her termination of employment.
