As it pertains to their activities with the Eclipse Foundation, Member agrees to abide by, and shall have all applicable rights and obligations as set forth in, the Bylaws, the Internal Rules, the Eclipse Foundation Antitrust Policy, the Eclipse Foundation Intellectual Property Policy (the “IP Policy”), and any and all additional policies, procedures and other governance rules adopted by the Eclipse Foundation, as may be amended from time to time in accordance with the Bylaws.
Unless otherwise agreed to in writing by Member and Eclipse Foundation, Member will be billed WG Participation Fees as defined in the applicable Working Group Charter on the Effective Date of this Participation Agreement, and on the anniversary of that date each year.
There shall be multiple classes of membership (“Membership Classes”) specified in the Bylaws including but not limited to, Strategic Members, the Strategic Foundation Member, Contributing Members, Committer Members, and Associate Members.
As a new member to the Foundation, Member agrees to publicly announce joining the Foundation and to provide a logo for the Foundation’s use in recognizing membership.
Subject to, and conditional upon, the Change of Control Effective Date having occurred, a Foundation Member (or any of its Sole Risk Affiliates) may propose and undertake an Expansion Project or New Project related to the Company’s assets on the terms and conditions set out in Annex B (Sole Risk Regime) of this Agreement.
