As referenced above, “Gross Sales” means all revenue and income from any source derived or received by the Franchised Territory from, through, by or on account of the operation of the Territory, whether received in cash, in services, in kind, from barter and/or exchange, on credit (whether or not payment is actually received) or otherwise, less the amount of any documented refunds given in good faith to customers and less any sales taxes.

The Franchisee’s rights to the designated Franchised Territory described in Exhibit A herein terminates upon five (5) years from the date of this Agreement, subject only to renewals in accordance with Section 2A of this Agreement.
Brickhouse has the right during the Term of this Agreement to develop or authorize another person to develop a Brickhouse Cardio Club® franchise and conduct normal pre-opening activities in the Franchised Territory so long as such Brickhouse does not open until the expiration or termination of this Agreement.
The Company shall cooperate with Purchaser to effect the removal of such legend at any time such legend is no longer appropriate.
