During Provider Credentialing under Full Implementation, no less frequently than every three (3) years, except as otherwise permitted by the Department.
In an effort to ensure continuity of staff in the Meter Reader Workgroup throughout the Full Implementation Phase of the Smart Meter Program, each active Employee that occupies a position in the Meter Reader Workgroup on December 31st of each calendar year (except in cases where an Employee is laid off part way through any calendar year) will be eligible to receive an annual lump-sum payment in January of each calendar year for service during the previous calendar year.

Attached to this Agreement as Exhibit C (Price and Schedule of Payments) is a schedule of all fees applicable to this Agreement, along with a payment schedule for completion of Work commencing upon execution of this Agreement by the Board of Supervisors and continuing up to and including Task 10 (Phase II Full Implementation Plan) of Exhibit B (Statement of Work), including the aggregate Maintenance Fees beginning at the termination of the Pilot Warranty Period.
The initial term of this Agreement will commence on December 31,1996 and shall be effective on February 1,1997 (the "Effective Date") and continue for five (5) years after the Full Implementation (as defined below) of RM Services for all UPA Departments (the "Term Date") unless sooner terminated as provided in Section 9 below.
