Fully Absorbed Costs definition

Fully Absorbed Costs means the direct variable and direct fixed costs associated with the conduct of the Research Phase or the Development Phase. Direct variable costs shall be deemed to be the cost of labor, raw materials, supplies and other resources directly consumed in the conduct of the Research Phase or the Development Phase. Direct fixed costs shall be deemed to be the cost of utilities, insurance, equipment depreciation and other fixed costs directly related to the conduct of the Research Phase or the Development Phase. Fixed costs shall be allocated based upon the proportion of such costs directly attributable to support of the Research Phase or the Development Phase. All cost determinations made hereunder shall be made in accordance with generally accepted accounting principles consistently applied.
Fully Absorbed Costs means an amount equal to ALIMERA’s and/or its Affiliate’s costs directly allocated to the Licensed Products distributed for, as the case may be, test marketing, sampling and promotional uses, clinical trial purposes, regulatory approval or compliance, compassionate uses, global access programs intended to provide Licensed Product at reduced prices in the developing world, or other similar uses, consisting of: (i) direct labor, including all resources utilized in support of ALIMERA’s and/or its Affiliate’s manufacturing operations; (ii) materials; (iii) a reasonable allocation of overhead, facilities expense (including depreciation over the expected life of the buildings and equipment), and administrative costs directly in support of such manufacturing operations calculated by ALIMERA and/or its Affiliate in accordance with reasonable cost accounting methods consistent with the way ALIMERA and/or its Affiliate allocates such costs to other products; and (iv) third-party costs. For the sake of clarity, in no event shall ALIMERA incur an obligation to pay royalties to EMORY for Licensed Products distributed for test marketing, sampling and promotional uses, clinical trial purposes, regulatory approval or compliance, compassionate uses, global access programs intended to provide Licensed Product at reduced prices in the developing world, or other similar uses, if payment of such royalty would cause ALIMERA to realize a loss; however, should ALIMERA realize a profit on such distributions, it is the intent of the parties that ALIMERA would incur an obligation to pay royalties to EMORY on such profit.
Fully Absorbed Costs means an amount equal to COMPANY’s costs directly allocated to the production of Licensed Products distributed under a Treatment IND or through an expanded access program or the Global Access Program, consisting of: (i) direct labor, including all resources utilized in support of COMPANY’s manufacturing operations; (ii) materials; (iii) a reasonable allocation of overhead, facilities expense (including depreciation over the expected life of the buildings and equipment), and administrative costs directly in support of COMPANY’s manufacturing operations and such Treatment IND distribution program, expanded access program or the Global Access Program, if applicable, calculated by COMPANY in accordance with reasonable cost accounting methods consistent with the way COMPANY allocates such costs to other products; and (iv) third-party costs.

  • Within 45 days after the beginning of each Calendar Quarter beginning with the Calendar Quarter in which Licensed Compound is first supplied by Ironwood to Astellas, or at such other times as reasonably requested by Astellas, Ironwood will deliver to Astellas a reasonably detailed report setting forth its Fully Absorbed Costs and the calculation thereof.

  • If the actual Net Selling Price exceeds the Fully Absorbed Costs, the distribution shall be deemed to be a Sale with a deemed Net Selling Price for the purposes of Article 3.2 of the difference between the actual Net Selling Price and the Fully Absorbed Cost therefor.

Fully Absorbed Costs means all direct expenses of OSI, as well as OSI's proportional allocation of overhead consistent with OSI's usual practice.
