Fully Diluted Common Shares Amount means a number of shares of Company Common Stock equal to the number of shares of Company Common Stock issued and outstanding immediately prior to the Effective Time.

Fully Diluted Common Shares Amount means a number of shares of Company Common Stock equal to the sum of (x) the number of shares of Company Common Stock issued and outstanding immediately prior to the Effective Time and (y) the number of shares of Company Common Stock issuable upon exercise, conversion and/or exchange of all securities issued and outstanding immediately prior to the Effective Time that are exercisable, convertible and/or exchangeable for shares of Company Common Stock (or other capital stock of the Company), including, without limitation, (i) the Company Options (as defined in Section 2.04 below), whether or not exercisable and whether or not vested or contingent; provided, however, that the Company Options shall be included in this Section 2.01(b)(vi) only if and to the extent such Company Options are assumed by Parent or the Merger Sub in the Merger, and (ii) the Company Warrants (as defined in Section 2.04 below), whether or not exercisable and whether or not vested or contingent; provided, however, that only such Company Warrants pursuant to which the exercise price per one share of Company Common Stock is less than $0.20 shall be included in this Section 2.01(b)(vi).
