GameSquare Meeting definition

GameSquare Meeting means the special meeting of the GameSquare Shareholders, including any adjournment or postponement thereof in accordance with the terms of this Agreement and the Interim Order, to be called and held in accordance with the Interim Order for, among other things, the purpose of considering and, if thought advisable, approving the Arrangement Resolution, and for any other purpose as may be set out in the GameSquare Circular.

GameSquare Meeting or “Meeting” means the special meeting of the GameSquare Shareholders to be held at 10:00 a.m. (Toronto time) on February 27, 2024.

Examples of GameSquare Meeting in a sentence

  • GameSquare shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 182 of the OBCA, as soon as reasonably practicable, but in any event not later than three (3) Business Days after the Arrangement Resolution is passed at the GameSquare Meeting as provided for in the Interim Order.

  • The GameSquare Arrangement Resolution shall have been passed by the GameSquare Shareholders at the GameSquare Meeting in accordance with the Interim Order.

  • If such notice has been delivered prior to the making of the application for the Final Order or the GameSquare Meeting or the Engine Gaming Meeting, such application and/or meetings shall be postponed, if and to the extent necessary, until the expiry of such period.

  • Scheme Meeting means such meeting(s) (and any adjournment or postponement thereof) convened with the permission of the Court pursuant to section 896 of the Companies Act for the purpose of considering and, if thought fit, approving (with or without modification) the Scheme of Arrangement.

  • Open meeting or "public meeting" means a meeting at which the public may be present.

  • Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;

  • Shareholders Meeting has the meaning provided in Section 6.3.

  • hybrid meeting means a general meeting convened for the (i) physical attendance by shareholders and/or proxies at the Principal Meeting Place and where applicable, one or more Meeting Locations and (ii) virtual attendance and participation by shareholders and/or proxies by means of electronic facilities;

  • Company Shareholders Meeting shall have the meaning set forth in Section 5.2(b).

  • General Meeting means the annual or any special general meeting of the Association.

  • Meeting of Members means an annual meeting of members or a special meeting of members;

  • special meeting of shareholders means a meeting of any particular class or classes of shareholders and a meeting of all shareholders entitled to vote at any annual meeting of shareholders at which special business is to be transacted.

  • Inaugural Meeting means the first meeting of Council held after a municipal election in a regular election year;

  • Stockholders Meeting shall have the meaning set forth in Section 6.2(c).

  • Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any action by written consent of the Company’s stockholders in lieu thereof, and any adjournment, postponement, rescheduling, continuation or meeting held in lieu thereof;

  • Company Shareholder Meeting means a duly convened meeting of the Company’s shareholders called to obtain the Company Shareholder Approval, or any valid adjournment or postponement thereof made in accordance with this Agreement.

  • Special Meeting shall have the meaning set forth in Section 23(c)(i) hereof.
