GECAS Transaction definition

GECAS Transaction means the acquisition of or subscription for, as applicable, the Equity Interests in the Companies, the Transferred Assets and the New Ireland Company Notes (each such term as defined in the GECAS Transaction Agreement) by one or more direct or indirect Wholly-owned Subsidiaries of the Company, pursuant to the GECAS Transaction Agreement.
GECAS Transaction means the transactions contemplated pursuant to the terms and conditions set forth in the Transaction Agreement, dated as of March 9, 2021, by and among the Borrower, AerCap Holdings N.V. and the other parties party thereto.
GECAS Transaction means the acquisition of or subscription for, as applicable, equity interests and assets comprising GE Capital Aviation Services, the aviation leasing business of General Electric Company, by one or more direct or indirect Wholly-Owned Subsidiaries of Holdings, pursuant to the Transaction Agreement.

  • Business Transaction means any initial merger, capital stock exchange, asset acquisition, stock purchase, reorganization or other similar business combination with one or more businesses involving the Company.

  • M&A Transaction means (a) a transaction in which all or substantially all of the assets to which the subject matter of this Agreement relates are acquired by or assigned to party that is not an Affiliate, or (b) a sale of all or substantially all of the share capital of BioLine (or its Affiliates), (c) the merger of BioLine (or its Affiliates) with any other entity, or any other similar corporate action, except an internal reorganization of BioLine (or its Affiliates) for tax-related reasons otherwise.
