German Guaranty definition

German Guaranty means that certain Guarantee Agreement dated as of August 18, 2023 between German Guarantor, Lender and the other lenders party thereto, as the same may be amended, restated, amended and restated, supplemented or otherwise modified from time to time.
German Guaranty means the guarantee of the Obligations of each Loan Party hereunder by the German Loan Parties in Article X hereunder or in a supplemental guarantee in accordance with Section 5.16 of this Agreement.

  • In no event shall either Party have any right to recover from the other Party any consequential damages as to any matter under, relating to or arising out of this Agreement or the transactions contemplated hereby.

  • The Administrative Agent shall be entitled to demand payment under such German Guarantor’s German Guaranty up to the amount which is undisputed between the Administrative Agent and such German Guarantor pursuant to the Management Notice (the “Undisputed Amount”).

  • In relation to the amount which is disputed (the “Disputed Amount”), the Administrative Agent shall, for the time being, refrain from demanding payment under such German Guarantor’s German Guaranty.

  • Nothing in this Section 11.12 shall limit the enforceability, legality or validity of this German Guaranty nor shall it prevent the Administrative Agent from claiming in court that the provision of this German Guaranty by and/or demanding payment under this German Guaranty against the relevant German Guarantor does not fall within the scope of section 30 of the GmbHG.

Related to German Guaranty

  • German Guarantor means a Guarantor incorporated under the laws of Germany as a GmbH.

  • Foreign Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in a foreign country, and meets all of the provisions of Tariff, Attachment Q. “Form 715 Planning Criteria” shall have the same meaning provided in the Operating Agreement.

  • Loan Guaranty means Article X of this Agreement.

  • Holdings Guaranty means the Holdings Guaranty made by Holdings in favor of the Administrative Agent on behalf of the Secured Parties, substantially in the form of Exhibit F-1.

  • Canadian Guarantee means the Canadian Guarantee Agreement, made by each of the Canadian Guarantors in favor of the Canadian Administrative Agent for the benefit of the Lenders to the Canadian Borrower, substantially in the form of Exhibit A-1, as the same may be amended, supplemented or otherwise modified from time to time.

  • Guaranty means, with respect to any Person, any obligation (except the endorsement in the ordinary course of business of negotiable instruments for deposit or collection) of such Person guaranteeing or in effect guaranteeing any indebtedness, dividend or other obligation of any other Person in any manner, whether directly or indirectly, including (without limitation) obligations incurred through an agreement, contingent or otherwise, by such Person:

  • Subsidiaries Guaranty shall have the meaning provided in Section 6.10.

  • Seller Guaranty means a guaranty of payment and performance issued by a Seller Guarantor in the form attached to this Agreement as Exhibit V or in such other form as may be acceptable to Purchaser acting reasonably.

  • U.S. Guarantor means a Guarantor whose jurisdiction of organisation is a state of the United States of America or the District of Columbia.

  • Non-Guarantor Subsidiary means any Restricted Subsidiary that is not a Guarantor.
