Global Bearer Note definition

Global Bearer Note means a Temporary Global Note or a Permanent Global Note (or such other form of global note in bearer form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser(s) as indicated in the applicable Final Terms) representing a certain number of underlying Notes (the Underlying Notes);
Global Bearer Note means a Temporary Global Note or a Permanent Global Note.

Examples of Global Bearer Note in a sentence

  • If it is stated in the Final Terms that the form of some or all of the Notes is "Bearer", such Notes are issued in the form of one Global Bearer Note.

  • In respect of bearer notes relating to a Series, a Global Bearer Note will be delivered on or prior to the original issue date to Clearstream Banking Frankfurt.

  • Temporary Bearer Global Note exchangeable for a Permanent Bearer Global Bearer Note which is exchangeable for definitive Bearer Notes only upon an Exchange Event.

  • A temporary Global Bearer Note or a permanent Global Bearer Note, in either case where the relevant Offering Circular Supplement indicates that such Note is intended to be issued in new global note form is referred to as a “New Global Note” or “NGN” and an NGN which is intended to be held in a manner which would allow Eurosystem eligibility, as indicated in the relevant Offering Circular Supplement, is referred to as a “Eurosystem- eligible NGN”.

  • Where this Global Bearer Note is an NGN, the Issuer shall procure that details of such exercise shall be entered pro rata in the records of the relevant clearing system and the nominal amount of the Notes recorded in those records will be reduced accordingly.

  • The statements set out in the legends above are an integral part of this temporary Global Bearer Note and, by acceptance hereof, each holder of this temporary Global Bearer Note agrees to be subject to and bound by such legends.

  • If permitted under the law applicable in relation to the registration, each Global Bearer Note will only make reference to the applicable Issue Specific Conditions, as replicated in the applicable Final Terms, and the General Conditions (including the applicable Reference Asset Linked Conditions) and as a consequence the applicable Issue Specific Conditions and the General Conditions will not be replicated in therein.

Global Bearer Note means a Temporary Global Note, a Permanent Global Note or a Swiss Global Note; Intermediary means the SIS or, as the case may be, with any other intermediary in Switzerland recognised for such purposes by SIX Swiss Exchange Ltd. Intermediated Securities (Bucheffekten) means the Swiss Domestic Notes deposited with the Intermediary and entered into the accounts of one or more participants of the Intermediary; Issue Date means, in respect of any Note, the date of issue and purchase thereof pursuant to and in accordance with the Dealer Agreement, being, in the case of any Note in the form of a Permanent Global Note or a Definitive Bearer Note, the same date as the date of issue of the Temporary Global Note which initially represented such Note; MREL Disqualification Event has the meaning set out in Condition 5(i);
Global Bearer Note. The Bearer Notes will be represented initially by the Global Bearer Note in the principal amount of US$30,000,000 which will be exchangeable for definitive Bearer Notes in denominations of US$1,000 and US$10,000 each with Coupons attached on issue as set out in the Global Bearer Note. Pending exchange of the Global Bearer Note, its holder will, subject to its provisions, be deemed to be the holder of the definitive Bearer Notes and the Coupons for all purposes save that unless, upon due presentation of the Global Bearer Note for exchange, delivery of Bearer Notes is improperly refused or withheld and such refusal or withholding is continuing at the relevant time, the Global Bearer Note will not confer upon its holder the right to receive interest or to exercise the Exchange Rights.

Related to Global Bearer Note

  • Bearer Notes means Notes which are specified in their Conditions as being in bearer form;

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Global Security means a Security issued to evidence all or a part of any series of Securities which is executed by the Company and authenticated and delivered by the Trustee to the Depositary or pursuant to the Depositary’s instruction, all in accordance with the Indenture, which shall be registered in the name of the Depositary or its nominee.

  • Global Note shall have the meaning specified in Section 2.05(b).
