Global Bearer Note definition

Global Bearer Note means a Temporary Global Note or a Permanent Global Note (or such other form of global note in bearer form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser(s) as indicated in the applicable Final Terms) representing a certain number of underlying Notes (the Underlying Notes);

• Unless specified otherwise in the relevant Offering Circular Supplement, Notes will each be represented on issue by a temporary Global Bearer Note exchangeable, in accordance with its terms, for interests in a permanent Global Bearer Note, or be in registered form only.

• Any Paying Agent which receives a Put Option Notice in respect of Notes represented by a Permanent Global Note or a Global Certificate shall make payment of the relevant redemption moneys and interest accrued to the Optional Redemption Date (Put) in accordance with the Conditions, Clause 7 (Payments to Noteholders) and the terms of the Global Bearer Note or Global Certificate, as the case may be.

• The Relevant Programme Agent shall make a record of each payment made against presentation or surrender of any Global Bearer Note, distinguishing between any payment of principal and any payment of interest on the Global Bearer Note by the Paying Agent to which it was presented, and such record shall be prima facie evidence that the payment in question has been made.

• Immediately before the issue of any Global Bearer Note or Global Certificate, the Principal Paying Agent (or its agent on its behalf) or, as the case may be, the Registrar (or an agent on its behalf), shall authenticate it.

• Where any Definitive Notes are to be delivered in exchange for a Global Bearer Note (other than a Temporary Global Note), the Principal Paying Agent shall ensure that in the case of Definitive Notes with Coupons attached, such Definitive Notes shall have attached thereto only such Coupons as shall ensure that neither loss nor gain of interest shall accrue to the bearer thereof upon such exchange.

• The Notes in bearer form (being Notes which are represented on issue by a Global Bearer Note) are subject to U.S. tax law requirements and may not be offered, sold or delivered within the United States or its possessions or to a United States person, except in certain transactions permitted by U.S. Treasury regulations.

• The Principal Paying Agent or the Registrar, as the case may be, shall authenticate and deliver such Definitive Notes or Individual Certificates in accordance with the terms hereof and of the relevant Global Bearer Note or Global Certificate.

• The CMU Service may require that any such exchange for a Permanent Global Bearer Note is made in whole and not in part and in such event, no such exchange will be effected until all relevant account holders (as set out in a CMU Instrument Position Report or any other relevant notification supplied to the CMU Lodging Agent by the CMU Service) have so certified.

• Temporary Bearer Global Note exchangeable for a Permanent Bearer Global Bearer Note which is exchangeable for definitive Bearer Notes only upon an Exchange Event.

More Definitions of Global Bearer Note

Global Bearer Note means a Temporary Global Note, a Permanent Global Note or a Swiss Global Note; Intermediary means the SIS or, as the case may be, with any other intermediary in Switzerland recognised for such purposes by SIX Swiss Exchange Ltd. Intermediated Securities (Bucheffekten) means the Swiss Domestic Notes deposited with the Intermediary and entered into the accounts of one or more participants of the Intermediary; Issue Date means, in respect of any Note, the date of issue and purchase thereof pursuant to and in accordance with the Dealer Agreement, being, in the case of any Note in the form of a Permanent Global Note or a Definitive Bearer Note, the same date as the date of issue of the Temporary Global Note which initially represented such Note; MREL Disqualification Event has the meaning set out in Condition 5(i);

Global Bearer Note. The Bearer Notes will be represented initially by the Global Bearer Note in the principal amount of US$30,000,000 which will be exchangeable for definitive Bearer Notes in denominations of US$1,000 and US$10,000 each with Coupons attached on issue as set out in the Global Bearer Note. Pending exchange of the Global Bearer Note, its holder will, subject to its provisions, be deemed to be the holder of the definitive Bearer Notes and the Coupons for all purposes save that unless, upon due presentation of the Global Bearer Note for exchange, delivery of Bearer Notes is improperly refused or withheld and such refusal or withholding is continuing at the relevant time, the Global Bearer Note will not confer upon its holder the right to receive interest or to exercise the Exchange Rights.
