A consent to assignment of the Ground Lease to Buyer and the Ground Lease Estoppel, both executed by the Ground Lessor (or the current fee title owner and lessor of the Land).
To the extent that any matters as to which Seller has made a representation or warranty herein are encompassed within the Ground Lease Estoppel, such representation or warranty shall no longer be effective and Purchaser shall have no rights in connection therewith.
Such Ground Lease Estoppel shall be consistent with the Ground Lease, shall not reveal any default by the Seller, shall confirm that the Improvements have been constructed in accordance with the Ground Lease, as applicable, and shall be otherwise reasonably acceptable to Buyer.
